Conduct: Lewis Gilbride (“Mr Gilbride”) failed to act in the best interest of Prestige Property Servicing Ltd (“Prestige”) and its creditors by causing Prestige to receive monies from and due to a connected company totalling at least £99,327, to which he could not demonstrate Prestige was entitled, resulting in a legal action being taken against Prestige by the connected company, in which Prestige was found liable for the monies and this caused Prestige’s liquidation. Of the monies received from the connected company £10,000 was transferred to Mr Gilbride and £67,000 to another connected company, of which he was sole director, to the detriment of Prestige’s creditors, in that: • On 21 November 2022, Mr Gilbride transferred £84,000 from a connected company “A” to Prestige, • On 30 November 2022, Mr Gilbride transferred £10,000 from Prestige bank account to his personal bank account, • Between 09 December 2022 and 13 December 2022, Mr Gilbride made payments totalling £67,000 from Prestige to a connected company “B” of which he was a sole director, • Between 13 December 2022 and 18 January 2023, Mr Gilbride diverted payments from customers due to a connected company “A” totalling at least £15,327 to Prestige, • Whilst the connected company “A” took proceedings against Prestige, Mr Gilbride could not demonstrate Prestige was entitled to the monies, • On 07 July 2023, Sheriff Court in Edinburgh granted a decree against Prestige and Mr Gilbride jointly and severally in favour of the connected company “A” in the sum of £174,342 with interest until payment, and a further £9,187.74 against Mr Gilbride personally attracting interest until payment, • Prestige was unable to repay the monies to the connected company “A” and consequently Prestige was liquidated, • At liquidation, Prestige had estimated deficiency of £349,029 made up of assets of £15,480 and liabilities of £364,509. • The connected company “A” submitted a claim in the liquidation totalling £272,069.
