Conduct: Mrs Suzanne Harley-Davies (“Mrs Harley-Davies”) abrogated her duties as an appointed director of Namare GRP Ltd (“Namare”) and TPG GRP Limited (“TPG”) by failing to exercise control over the affairs of the companies and failing to ensure that they operated for legitimate corporate purposes, in that; • Following winding up petitions issued by the Secretary of State, Namare and TPG were wound up in the public interest on 27/08/2024 on the grounds that they traded with a lack of commercial probity by facilitating a scheme that sought to subvert and undermine the insolvency regime and legislation. • The scheme was advertised as corporate rescue service by which directors of distressed companies were encouraged to sell their businesses as an “alternative” to entering formal insolvency proceedings • Mrs Harley-Davies was a director of Namare between 12/07/2023 and 21/07/2024, and was a director of TPG between 27/09/2023 and 24/07/2024 • During this time, Namare became sole owner and person of significant control (“PSC”) of at least 171 separate companies. • TPG took ownership of no companies while Mrs Harley-Davies was director, however it already owned at least 58 other companies. • All of the companies owned by Namare & TPG had been purchased via the scheme whereby directors would pay a fee of between £5,000 and £15,000 for their company to be sold, and a new owners and directors be installed instead. • Namare & TPG acted as the owners in this scheme. • Mrs Harley-Davies had no involvement in the creation, promotion or operation of the scheme • During her appointment as director of both companies, Mrs Harley-Davies made limited enquiries into the actions of both companies, and failed to take steps to ensure they were acting reasonably.
