Conduct: Between 16 June 2023 and 25 July 2023, whilst insolvent and after a Winding up Petition had been presented against CJS Engagement 2 Ltd (CJSE2), Paul Anthony Bresnihan (Mr Bresnihan) caused CJSE2 to make payments that were to the detriment of His Majesty’s Revenue & Customs (HMRC) in that: • CJSE2 Ltd was incorporated on 12 August 2021. • On 10 March 2023 HMRC sent CJSE2 an assessment of VAT for the quarters ending December 2021, March 2022 and June 2022 and demanded immediate payment of £31,862,227 • CJSE2 did not appeal the assessment and did not make any payments to HMRC • HMRC presented a Creditors Petition to wind up CJSE2 on 15 June 2023. The Petition claimed debts totalling £32,427,882 were owed by CJSE2 to HMRC. • Between 16 June 2023 and 25 July 2023, €4,829,001 was transferred from CJSE2’s UK bank account to a bank account belonging to CJSE 2 in Montenegro. • At liquidation on 9 August 2023 CJSE2 had creditors of £32,427,882, all of which was owed to HMRC. • Mr Bresnihan has provided no explanation for the money transfers to the Montenegrin bank account. • Mr Bresnihan was the sole signatory for the UK bank accounts from which money was transferred to the Montenegrin bank account. • The liquidator has been unable to access the Montenegrin bank account or retrieve funds from it. Mr Bresnihan has not co-operated with the liquidator’s attempts to do so.
