Conduct: Between 28 November 2023 and the date of liquidation on 13 February 2024 Sobia Usman (“Mrs Usman”) the director of Paragon Facilities and Management Ltd (“Paragon”), caused Paragon to enter into transactions to the detriment of its creditors at a time when she knew or ought to have known that the company was insolvent or by entering into those transactions she caused the insolvency of the company, in that: • As of 28 November the only disclosed assets of Paragon were funds in its bank accounts with Lloyds Bank; £7,785.37, Tide Bank £11,201.69 and, Metro Bank £46,763.13. Totalling £65,750.19. • Between 28 November 2023 and 22 January 2024, Paragon applied for 8 loans and received a total amount of £235,886 in loan funds • Between 28 November 2023 and 13 February 2024 at least £106,581.37 was paid out to parties connected to Mrs Usman and a former director, transactions which Mrs Usman has failed to explain. • Between 28 November 2023 and 13 February 2024 at least £199,906 was paid out to various parties whose relationships to Paragon are unknown and for which Mrs Usman has failed to provide explanations when requested. • Analysis of the Paragon’s accounts for period ending on 31 July 2023 show a positive balance sheet figure of £371,116 • Analysis of the Paragon’ bank statements shows the company was insolvent on a cash flow basis in November 2023, at the time the loans were taken out. • On 24 January 2024 took advice regarding the solvency of Paragon from accountants and an Insolvency Practitioner. • On 01 February 2024 Mrs Usman swore a statement of affairs showing Paragon to be insolvent in the sum of £451,011.44. • Mrs Usman has failed to evidence that the transactions made to third parties were for the benefit of the company. • On 13 February 2024 Paragon entered into liquidation.
