Conduct: Between 29 October 2020 and 01 November 2020 Mulopwe Zoe Kalonji (“Mr Kalonji”) caused Passmores Commercials Ltd (“Passmores”) to breach the terms and conditions of the Bounce Back Loan (“BBL”) scheme by applying for a BBL when he knew or ought to have known that Passmores was not eligible for the scheme. In addition, between 03 November 2020 and 23 December 2020 Mr Kalonji caused Passmores to make payments totalling £20,518 from the BBL that do not appear to be for the economic benefit of Passmores, in breach of the BBL terms and conditions. In that: • Under the BBL scheme businesses could apply for a loan of between £2,000 and £50,000 subject to a maximum of up to 25% of turnover. The turnover figure was self-certified by the applicant. The turnover figure required was that for the 2019 calendar year, or where a business was established after 01 January 2019 it is their estimated annual turnover from the date that the business was started. • To be eligible to apply under the BBL scheme, a company must have been carrying on its business on 01 March 2020. • Passmores was incorporated on 23 October 2019. • Passmores’ accounts for the period ending 31 October 2020 show turnover totalling £30,900. • Passmores’ bank statements show an opening balance of Nil on 04 July 2020 and between the same date and 31 October 2020 received payments totalling £33,700. • On 29 October 2020 Mr Kalonji applied for a BBL of £50,000 on behalf of Passmores declaring turnover of £210,000. The BBL agreement was signed by Mr Kalonji on 01 November 2020. • Passmores’ bank balance was £8 prior to the company receiving BBL funds of £50,000 into its bank account on 03 November 2020. • Based on the accounts and bank statements there is no evidence to support that Passmores was carrying on its business on 01 March 2020 and therefore was not eligible to apply for a BBL. • Mr Kalonji caused Passmores to receive a £50,000 BBL to which it was not entitled. • The terms of the BBL scheme stated that the BBL was to be used only for the economic benefit of the business, used wholly for business purposes and not personal purposes. • Between 03 November 2020 and 23 December 2020, Passmores made payments totalling £18,474 to Mr Kalonji and a payment to Kempinski Hotel Dubai of £2,044. There is no evidence these monies were used for the economic benefit of the company. • Passmores entered Creditors Voluntary Liquidation on 07 March 2023. Total liabilities at liquidation amounted to £52,885, of which £49,885 related to the amount owed in respect of the BBL.
