Conduct: Alex Shorthose (“Mr Shorthose”) caused Siamo Fire and Security Limited (“Siamo”) to trade to the detriment of His Majesty's Revenue and Customs (“HMRC”) from at least December 2017 until the cessation of trade on 31 December 2021, resulting in losses to HMRC of at least £185,538, in that: VAT • Siamo registered for VAT with effect from 23 October 2017. • The first VAT return for quarter ended February 2018 fell due for payment on 07 April 2018. • Returns continued to be submitted for all quarters to November 2021. • The total liabilities due in respect of the VAT returns was £113,918. • Only two payments were made against these returns: £893 on 05 September 2019 and £4,117 on 07 November 2019. • As a result, Siamo owed £112,920 to HMRC in respect of its VAT liability at liquidation which includes £4,012 of surcharges. PAYE • Siamo submitted returns for all periods from 05 December 2017 (due for payment 22 December 2017) to 05 December 2021 totalling £90,012 • Only two payments were made against these returns: £2,297 on 31 August 2021 and £358 on 04 September 2019. • During this period £15,314 of employment allowance was also applied. • As a result, Siamo owed £72,618 to HMRC in respect of its PAYE liability at liquidation of which £400 was penalties and £176 in interest Differential Treatment • Analysis of Siamo’s bank statements for the period 22 December 2017, the date on which the first PAYE return fell due for payment, and 31 December 2021, the date by which Siamo ceased trading, shows receipts of £942,481 and payments of £944,267. • Receipts consist of £77,521 from the HMRC retention scheme, £10,399 from Mr Shorthose, £835,745 categorised as trade/business, and unknown transactions of £18,816. • Payments consist of £5,368 to HMRC, in comparison to £215,870 to Mr Shorthose, £346,533 to his associates, £265,013 to trade/business creditors and unknown transactions of £111,483. • Although Siamo ceased trading in December 2021, Mr Shorthose took no steps to formally dissolve or liquidate the company. • Siamo was wound up on 07 February 2024, on the petition of HMRC. Further, Mr Shorthose then repeated this behaviour by causing Alex Fire and Security Limited (“Alex Fire”) to trade to the detriment of HMRC from at least 22 December 2021 to 31 January 2024 resulting in losses to HMRC of at least £142,092 in that: VAT • Alex Fire registered for VAT with effect from 15 July 2021. • The first VAT return for quarter ended October 2021 fell due for payment on 07 December 2021. • Returns continued to be submitted for all quarters to January 2023. • The total liabilities due in respect of the VAT returns was £61,102. • No returns were submitted for quarters April 2023 through to January 2024, and assessments were raised by HMRC totalling £58,592. • Alex Fire made no payments in respect of its VAT liability. • As a result, £125,265 was owed to HMRC at liquidation, which includes £5,370 of surcharges and £200 of penalties. PAYE • Alex Fire submitted returns for all periods from 05 December 2021 (due for payment 22 December 2021) to 05 March 2023 totalling £23,770 • No further PAYE returns were submitted or assessments raised for the period from April 2023 to liquidation. • During this period £6,944 of employment allowance was applied to the PAYE liability. • Alex Fire made no payments to HMRC in respect of PAYE. • As a result, £16,827 was owed to HMRC at liquidation Differential Treatment • At the last set of filed accounts to 28 February 2022, HMRC was recorded as a creditor in the sum of £15,244. • Analysis of Alex Fire’s bank statements from that date until liquidation shows receipts of £624,322 and payments of £628,557. • Receipts consist of £601,187 categorised as trade/business, £13,135 from Mr Shorthose and £10,000 from Mr Shorthose’s associates. • Payments consist of £171,325 to Mr Shorthose, £235,175 to his associates, £167,104 to trade/business creditors and unknown transactions of £54,954. • No payments were made to HMRC during this period • Alex Fire was wound up on 31 January 2024, on the petition of HMRC.
