Conduct: Debra Routledge (“Mrs Routledge”) failed to ensure that Vision Windows (Southern) Limited (“Vision”) maintained and/or preserved adequate accounting records between Vision’s incorporation on 17 January 2019 and 6 December 2021 when it entered liquidation, or in the alternative, failed to deliver up to the joint liquidators such records as were maintained, with the consequence that it has not been possible to: • Determine the nature and purpose of payments totalling £28,812 made to another director of Vision between 2 December 2019 and 23 July 2019, including a payment of £3,090 on 23 July 2021 which was post cessation of trading. • Determine the nature and purpose of payments totalling £6,372 made to a former director of Vision, between 1 December 2020 and 10 June 2021. • Establish the reason that accounts which were due to be filed at Companies House by 17 January 2021 were not filed • Establish the reason why the company used a personal bank account belonging to one of the directors and not a company bank account. As a consequence it has not been possible to determine which transactions were personal and which related to the business, especially given that the first transaction in the account was on 03/07/2017, before the company was incorporated. It is therefore not possible to establish an accurate date when the company commenced trading. • Determine the nature and purpose of cash withdrawals totalling £7,046 between 29 November 2019 and 21 May 2021. • Accurately determine the true liability to HMRC, which has been estimated at £55,000 by the directors. Vision made one payment of £800 to HMRC on 19 January 2021 against this liability. • Accurately determine Vision’s assets and liabilities, which were estimated by the director at nil and £136,807 respectively when Vision entered liquidation. One additional creditor of £10,000, not scheduled by the directors, has since come forward in the liquidation.
