Conduct: Between 11 February 2022 and 08 March 2022, at a time when it was insolvent and had overdue Corporation Tax, Jeremy Lau (“Mr Lau”) caused Honour Group Limited (“HG”) to dispose of £409,000. The disposal constitutes transactions to the detriment of creditors generally, in particular, HM Revenue & Customs (“HMRC”), the majority creditor of HG as at the winding-up order date, in that: • On 24 December 2021, HG submitted its Corporation Tax return for the financial year between 01 April 2020 and 31 March 2021, which recorded a liability due to HMRC of £1,784,360. HG made one payment towards this liability on 06 January 2022 of £10,000. • On 27 January 2022 HMRC called Mr Lau to discuss payment of HG’s Corporation Tax liabilities. Mr Lau called back on 10 February 2022 and attempted to negotiate a Time To Pay agreement, but HMRC did not accept his proposal. As a result, Mr Lau knew HG was insolvent due to its inability to pay its liabilities to HMRC in full as they fell due. • Between 11 February 2022 and 16 February 2022 HG received income of £411,671, of which £1,617 was paid to HMRC in respect of HG’s PAYE liabilities. • Between 11 February 2022 and 08 March 2022 Mr Lau transferred £409,000 from Honour Group’s account to, or for the benefit of, himself. • On 14 June 2023, a winding-up order was made against HG upon a petition presented by HMRC, in respect of a liability of £1,868,478, including £1,774,360 of outstanding Corporation Tax for the 2020/2021 financial year.
