Conduct: Mrs Mehrnoosh Fallah Mehdipour (“Mrs Mehdipour”) abrogated her responsibilities as a director in that she failed to have oversight of the financial affairs of West 5 Kitchen Limited (“W5K”) resulting in W5K obtaining a government-backed Bounce Back Loan (“BBL”) for which it was not entitled to, Following receipt of the BBL funds, Mrs Mehdipour failed to ensure the BBL money obtained were used for the economic benefit of the business. In that: • Under the BBL scheme rules, a company that was carrying on business on 1 March 2020 and had been affected by the Covid-19 pandemic was eligible to apply for one BBL of 25% of its 2019 calendar year turnover, up to a maximum of £50,000. When making an application for a BBL, the applying director had to self-certify the company’s 2019 calendar year turnover. Where a company was carrying on business as of 01 March 2020, but had started trading after 01 January 2019, a reasonable estimate of the company’s turnover could be used when making the application. • W5K was incorporated on 27 April 2018 and commenced trading around October 2019. Mrs Mehdipour was appointed as a director on 05 May 2019. Mrs Mehdipour has explained that she was not involved in the management of W5K and she allowed a third party to manage and control the activities of W5K. Mrs Mehdipour has clarified that she had no knowledge of the activities of W5K (including the BBL application). • On 12 January 2021, W5K applied for a £50,000 BBL. On the application, W5K’s 2019 calendar year turnover was declared to be £249,000. Mrs Mehdipour has explained that the third party made the BBL application and that she had no knowledge of it. • Financial Statements for the year ended 30 April 2021 state W5K’s turnover for the year ended 30 April 2021 was £11,400. The Financial Statements also record that the Company’s turnover for the year ended 30 April 2020 was £12,369. • W5K received no income from incorporation until it opened its trading premises in October 2019. From W5K’s Financial Statements, it is apparent that W5K’s turnover in the period from incorporation to 30 April 2021 totalled £23,769. • Based on W5K’s Financial Statements, the turnover figure on the BBL application is not a reasonable estimate of W5K’s turnover. • On 15 January 2021, W5K received the BBL funds of £50,000 into its bank account. Prior to the receipt of the BBL, the balance in the account was £106.77 • Under the BBL scheme businesses were required to use the loan only to provide economic benefit to the business, and not for personal purposes • Analysis of the W5K’s bank account shows that on 19 January 2021 a payment of £7,000 was made to the W5Ks former director, on 27, 29 and 30 January 2021 three payments totalling £28,160 were made to a third party company and on 30 January 2021 and 01 February 2021 two payments totalling £3,000 were made to Mrs Mehdipour. There is no evidence that any of these payments, which were funded by the BBL, were to the economic benefit of W5K. W5K made BBL repayments of £4,215 • W5K entered Creditors Voluntary Liquidation on 12 July 2023 • At Liquidation, £47,413 remained outstanding in respect of the BBL
