Conduct: Adam Francis (“Mr Francis”) failed to ensure that EMS Engineering Services Limited (“EMS”) met its financial obligations to HM Revenue & Customs (“HMRC”) and caused EMS to trade to the detriment of HMRC from 7 October 2019 in respect of VAT totalling £390,146 and from 11 March 2020 in respect of PAYE/NIC totalling £377,137 to cessation in June 2021. In that: VAT • EMS last payment towards its VAT liabilities was on 4 October 2019 for £6,000, leaving a liability of £62,887 covering periods August 2018 to May 2019. • EMS Submitted VAT returns for period August 2019 to February 2021 disclosed EMS liabilities totalling £303,926, with surcharges applied totalling £30,146. No payments were made leaving an outstanding balance of £390,871 at cessation of trade. PAYE • EMS Last payment towards its PAYE/NIC liabilities was on 10 March 2020 for £15,564.94, leaving a liability of £46,875. • EMS continued to submit PAYE/NIC returns to April 2021 disclosing liabilities totalling £330,261 leaving a total outstanding liability of £377,137. Comparative Treatment • A review of EMS’s bank account between 4 October 2019 and the date of liquidation on 16 July 2022 shows external payments in totalling £4,089,079 and net payments out totalling £4,124,463. • Of the payments out of the bank account between 4 October 2019 and the date of liquidation on 16 July 2022 at least £1,696,542 was paid to trade creditors, net payments of £998,505 were transferred to various bank accounts, £1,033,356 in salaries, £279,503 in other payments and £96,557 paid to HMRC PAYE liabilities. No payments were made to HMRC in relation to VAT. .
