Conduct: Lawrence Kenwright of 10 Sankey Road, Liverpool L31 5NR failed to ensure adequate stewardship and corporate governance of Signature Works Gold Limited (“SWG” or “the Company”) which allowed the Company to distribute marketing material containing false and/or misleading information and which led to investors losing at least £4,848,654 in that: a) SWG provided false and misleading information and/or representations in its marketing material in which it was stated or implied that investors would gain a legal interest in properties registered at Land Registry. SWG had failed to ensure that any interest granted to investors in the Properties was registered at HM Land Registry, and/or that adequate steps were taken to confirm SWG's ability to grant an interest in the Properties. b) SWG owned no registered freehold or leasehold interest in any of the Properties. The Properties were owned by companies of which Lawrence Kenwright was the only shareholder. c) The marketing materials used by SWG referred to the Company being part of a group of companies, rather than by reference to its company name or number. SWG was not part of a group structure in the formal legal sense, although Lawrence Kenwright was the main shareholder of both SWG and the companies referred to, such that there was common ownership across the businesses. d) The Secretary of State for Business, Energy and Industrial Strategy (now Business and Trade) presented a petition to wind the company up in the public interest on 27 October 2022. As a result, a winding up order was made against SWG on 20 December 2022 and at least £4,848,654 remains outstanding to investors. e) Lawrence Kenwright does not admit nor does the Secretary of State for Business and Trade rely upon an allegation of direct fraud on the part of Lawrence Kenwright.
