Conduct: Aisha Helena Kehru (hereinafter referred to as “Miss Kehru”) caused Ace Delivery Solutions Ltd (hereinafter referred to as “Ace”) to trade to the detriment of HM Revenue & Customs (hereinafter referred to as “HMRC”) and for her own benefit in respect of PAYE/NIC from 22 April 2018 to 30 April 2022 to the sum of £67,105 and VAT from 07 March 2020 to 30 April 2022 to the sum of £566,860, inclusive of surcharges, in that: PAYE/NIC - Ace submitted real time information to HMRC for the months ended 05 April 2018 to 05 May 2022, indicating it owed £82,106 in PAYE, NIC and Student Loan Deductions. - During the same period Ace received Employment Allowance totalling £15,001 which was offset against the amounts due. - Ace made no payments in respect of this liability. - At the date of the liquidation Ace owed HMRC £67,105 in respect of PAYE, NIC and student loan deductions. VAT - Ace submitted VAT returns for the periods 01/20 to 03/22 indicating it owed £521,337 in VAT and submitted one claim return for £3,838 for the period ended 03/21 which was offset against the other periods. - In the same period Ace made payments totalling £36,000, £2,404 of which was offset against VAT for the period ended 01/20 and the remaining £33,596 was used to repay the balance for the period ended 12/09. - Ace submitted nil VAT returns for the periods ended 04/22 and 05/22. - At the date of the liquidation Ace owed £566,860 in respect of VAT comprising of VAT due for the periods ended 01/20 to 03/22 inclusive of £515,095 and surcharges of £51,765. Director’s Loan Account (DLA) - In the year to 31 July 2020 Miss Kehru made net withdrawals against her DLA totalling £225,336. - In the year to 31 July 2021 Miss Kehru made net withdrawals against her DLA of £472,269. - As at 31 July 2021 Miss Kehru owed Ace £697,605 in respect of her DLA. Comparative treatment • Accounts for the year ended 31 July 2019 show Ace had a turnover of £4,556,503. HMRC records show Ace made no payments in respect of PAYE and £338,685 in respect of VAT during this period. As at 31 July 2019 Ace owed £150,728 in respect of taxes and social security, £0 in respect of VAT and £119,246 to trade creditors. • Accounts for the year ended 31 July 2020 show Ace had a turnover of £5,371,730. HMRC records show Ace made no payments in respect of PAYE and £126,000 in respect of VAT during this period. As at 31 July 2020 Ace owed £221,768 in respect of tax and social security, £203,991 in respect of VAT, £219,948 to trade creditors and £197 to other creditors. • Accounts for the year ended 31 July 2021 show Ace had a turnover of £5,650,807. HMRC records show Ace made no payments in respect of PAYE and £11,000 in respect of VAT during this period. As at 31 July 2021 Ace owed £482,686 in respect of tax and social security, £370,239 in VAT, and £206,108 to trade creditors. • Between 1 August 2021, the date of the last set of accounts, and 30 April 2022 when Ace ceased trading, £2,301,578 was paid out of Ace’s bank account, excluding contra entries, intra account transfers, interest and charges, of which: • £1,930,352 was paid to trade creditors. • £5,324 was paid to the bank. • Net payments of £36,538 were made to Miss Kehru and £204,347 to associated parties. • No payments were made to HMRC. • At the date of liquidation, Ace owed trade creditors £288,499 and the bank £45,444. Between 1 August 2019, the date after the accounts for the year ended 31 July 2019, and 30 April 2022, at least £2,746,022 was paid out of Ace’s bank account to these creditors as follows: • 1 August 2019 to 31 July 2020 - £1,197,743 • 1 August 2020 to 31 July 2021 - £1,306,950 • 1 August 2021 to 30 April 2022 - £241,329 • At the date of the liquidation, Ace had liabilities of £1,226,285, of which £892,342 was owed to HMRC.
