Conduct: Joseph Adedamola Akanbi Olajubu (“Mr Olajubu”) failed to ensure that Jao Consulting Limited (“Jao”) met its financial commitments in respect of Corporation Tax and Value Added Tax (”VAT”) and caused Jao to continue trading whilst withdrawing funds for the benefit of himself. As a result Jao became unable to meet its financial commitments to HM Revenue & Customs (“HMRC”) as and when they became due, at the latest from May 2017, in that: • Corporation Tax liabilities totalling £131,682 (excluding surcharges) are outstanding for the period covering the years ending 31/03/2017 to 31/03/2022. The company was therefore in arrears of Corporation Tax by 02 January 2018. The last Corporation Tax payment is dated 27/11/18. • VAT liabilities totalling £95,878 (excluding surcharges) are outstanding for the quarters ending 03/17 to 09/23. The company was therefore in arrears of VAT by 08 May 2017. The last VAT payment is dated 22/11/17. • On 19/07/23 HMRC issued a winding up petition against Jao, for £240,211 in respect of unpaid Corporation Tax and VAT. • According to the Statement of Affairs, HMRC was Jao’s only creditor with debts totalling £240,211 • Payments from Jao’s bank account between 08 May 2017 and liquidation total £772,005, including £722,229 paid to Mr Olajubu. During this period a total of £9,036 was paid in respect of Corporation Tax and no payments were made in respect of VAT from Jao’s bank account. • Mr Olajubu’s remuneration consisted of a salary, equivalent to his personal tax free allowance, and dividends. Sums paid to Mr Olajubu exceeded amounts that could be declared as dividends. At liquidation Mr Olajubu owed £165,369 in respect of an overdrawn Director’s Loan Account.
