Conduct: 1. Between 07 September 2020 and 10 September 2020 Robin Scott Forster caused Qualia Care Developments Limited and/or Qualia Care Properties Limited to make transfers to a connected company, to the detriment of company creditors, totalling £2,017,789.95 in the 4-day period prior to Qualia Care Developments Limited and Qualia Care Properties Limited being placed into Administration on 11 September 2020. Robin Scott Forster caused these inter-company transfers despite having previously met with an Insolvency Practitioner on 21 August 2020 to discuss insolvency processes for the companies and accordingly being aware Qualia Care Developments Limited and Qualia Care Properties Limited were likely to enter into insolvency. Robin Scott Forster further caused these inter-company transactions at a time when he was or ought to have been aware that Qualia Care Developments Limited and Qualia Care Properties Limited had outstanding liabilities due to investors of at least £5.9M which would remain outstanding on the companies entering an insolvency process. In that: i. Robin Scott Forster had a meeting with an Insolvency Practitioner on 21 August 2020 to discuss company insolvency options with consideration given to both Administration and Company Voluntary Arrangements. This meeting led to the Insolvency Practitioner issuing a letter of engagement dated 8 September 2020. Qualia Care Developments Limited and Qualia Care Properties Limited were subsequently placed into Administration on 11 September 2020 ii. On 07 September 2020 Robin Scott Forster caused Qualia Care Developments Limited to transfer £1,030,289.95 to a connected company. This payment was made 4 days prior to Qualia Care Developments Limited being placed into Administration. iii. On 08 September 2020 Robin Scott Forster caused Qualia Care Developments Limited to transfer a further £577,500.00 to the same connected company. This payment was made 3 days prior to Qualia Care Developments Limited being placed into Administration. iv. On 10 September 2020 Robin Scott Forster caused Qualia Care Properties Limited to transfer a further £410,000.00 to the same connected company. This payment was made the day prior to Qualia Care Properties Limited being placed into Administration. v. The Qualia Care Developments Limited and Qualia Care Properties Limited inter-company payments totalling £2,017,789.95 were made in accordance with licence agreements entered into with the connected company on 10 September 2020, the day prior to the Administrations. These licence agreements sought to retrospectively formalise rent payable by the connected company to Qualia Care Developments Limited and Qualia Care Properties Limited and rent incentive charges payable by Qualia Care Developments Limited and Qualia Care Properties Limited to the connected company. 2. Between 29 February 2016 and 11 September 2020 Mr Robin Scott Forster caused or allowed Qualia Care Properties Limited and/or Qualia Care Developments Limited, to trade in breach of the provisions of the Financial Services and Markets Act 2000 (“FSMA”), namely to: i. Operate collective investment schemes, without authorisation from the Financial Conduct Authority; and ii. Promote collective investment schemes using false and misleading statements or impressions As a result investors are likely to incur losses totalling approximately £57,834,900.
