Conduct: On 6 April 2021, Mr Kulbarg Singh breached his fiduciary duties in respect of Aldridge Construction Engineering Limited (“Aldridge”) by selling at least £1.5m of the company’s assets to a related company, thereby placing Aldridge in an insolvent position; in that: • Accounts for the financial year ended 31 January 2021 showed: o Tangible Fixed Assets - £485,316 o Fixed Asset Investments - £101,500 o Stocks - £1,003,022 o Total - £1,589,838 • On 21 February 2022, Aldridge formalised in an Asset Purchase Agreement with a related company “the agreement to sell and buy the assets and goodwill [that] had been made on 6 April 2021 between the Seller [Aldridge] and the Buyer [related company]” • On 21 February 2022, the sale agreement formalises the sale in respect of: o Moveable Assets - £465,000 o Goodwill - £1 o Contracts - £1 o Stock - £1 o Business Information - £1 o Records - £1 o Business Intellectual Property - £1 o IT System - £1 o Total - £465,007 • 2022 year end accounts show an intercompany sales invoice raised on 6 April 2021 for a value of £465,007 in respect of the asset sale agreement. As at 31 January 2022, the balance left on the intercompany loan account in respect of the sales invoice was £54,166. • The sale resulted in a loss of over £1m to Aldridge; accounts for the year ended 31 January 2022 show: o Tangible Fixed Assets - £0 o Fixed Asset Investments - £0 o Stocks - £35,985 o Total - £35,985 • The sale resulted in Aldridge becoming balance sheet insolvent; accounts for the year ended 31 January 2022 show Aldridge’s reserves fell from £463,570 (2021) to (£1,071,675) year on year. • As a result of the transfer of Aldridge’s assets to a related company, creditors in the liquidation of Aldridge were unfairly prejudiced. Creditors have claimed £1,305,418 in the liquidation.
