Conduct: Between incorporation on 10 April 2015 and Administration on 08 July 2024 William Anthony Abundes (Mr Abundes) failed to ensure Cauta Capital Ltd (Cauta) maintained and/or preserved adequate accounting records, or in the alternative, he failed to deliver up such records to the Administrator. As a result, it has not been possible to: • identify if funds were applied only in accordance with clear written instructions specifying purpose, and in accordance with an escrow/client account agreement. • identify why a bank account not under his control received total funds between 20 October 2017 and 14 June 2021 of £6,705,974 and transferred out £5,258,168 to 3 companies under the directorship of a third party • identify why investors bond applications were sent to businesses associated and/or outside of his control • verify total liabilities owed to bond investors estimated at £11,187,895 plus interest of £2,500,000 • verify other creditors estimated at £377,897 • identify and recover any assets, in particular those shown in the last filed accounts to 31 January 2023 including debtors of £1,381,011 and investments of £19,412,876 • evidence receipt of investors’ funds and subsequent expenditure to support Cauta’s normal trading activity as Cauta did not operate a bank account in its name but operated escrow accounts under the control of a third party • explain the reason for the accounts filed at Companies House for period ended 31 January 2023 being a duplicate of those filed for the period ended 31 January 2022 showing surplus Shareholders’ Funds of £7,974,364 • verify the accuracy of filed accounts from year ended 30 April 2016 to 31 January 2023, which showed surplus Shareholders’ Funds starting at £39,990,902 increasing to £69,082,931 by 30 April 2020 and decreasing to £11,546,381 by 31 January 2021 and £7,974,364 by 31 January 2022 • verify the contents of the bond promotional material that stated the underlying assets acquired for the purposes of Cauta’s main business were at cost of circa £44 million and a resolution dated 01 July 2015 by Mr Abundes to maintain at least £28 million in investment assets
