Conduct: From at least 31 January 2018 to June 2021, Mrs Brown-Pinnock failed to ensure that HeDL registered for Value Added Tax (‘VAT’) when appropriate, and failed to ensure that HeDL filed VAT returns when due, causing HM Revenue and Customs (‘HMRC’) to raise assessments of VAT due amounting to £377,660, in that: • HeDL was incorporated 30 March 2015, with Mrs Brown-Pinnock being appointed as a director of the company on 09 January 2018. Mrs Brown-Pinnock remained as the sole appointed director until the company entered liquidation. • The Corporation Tax (“CT”) returns submitted by HeDL show that for the periods ending 31 March 2017, 31 March 2018 and 31 March 2019 their turnover was £264,958, £212,597 and £159,539, respectively. Therefore, in these periods the Company’s turnover breached the threshold for registering for VAT which was, at that time, £85,000 per annum. • The CT return for the period 01 April 2016 to 31 March 2017 was filed by HeDL on 31 January 2018. Therefore, at this date, Mrs Brown-Pinnock was aware of the turnover of the Company and therefore knew or ought to have known that HeDL had breached the threshold for registering for VAT. • Bank statements record that, between January 2018 and June 2018, the company’s turnover amounted to £92,393, breaching the threshold for registering for VAT which was, at that time, £85,000 per annum. • Bank statements also record that, excepting April, May, and June 2020, HeDL’s rolling 12-month turnover remained above the VAT threshold each month between June 2018 and June 2021. • HMRC petitioned for the company to be wound up on 25 September 2023. Their petition disclosed an assessment of VAT had been made, amounting to £197,186 inclusive of interest and penalties. • HMRC have submitted their claim in the liquidation, which claims that the VAT owed amounts to £377,660.
