Conduct: On 09 January 2022, Mr Dinesh Kumar Dhingra (“Mr Dhingra”) caused CONTINENTAL CASH & CARRY LIMITED (“CCCL”) to transfer stock valued £204,005, to a connected party for £6,738. The transaction was at an undervalue and occurred at a time when CCCL was uncertain whether it would retain a temporary Alcohol Wholesaler Registration scheme (“AWRS”) approval and was insolvent. In that: In March 2017 CCCL’s application for a AWRS approval was refused by HMRC. CCCL was granted an injunction to trade under a temporary AWRS until an appeal tribunal had taken place. The hearing date was set for 10 January 2022. On 20 December 2021, CCCL defaulted on its ‘time to pay’ agreement with HMRC. By 9 January 2022 there were at least two other creditors with overdue amounts outstanding On 09 January 2022 CCCL sold stock valued at £204,005, to a connected party for consideration of £6,738. The invoices in relation to this were marked “closing down sale”, indicating the intention of Mr Dhingra to cease trading with CCCL. On 10 February 2022 the judgement was released that CCCLs appeal was unsuccessful. On 25 March 2022, CCCL entered liquidation with £1,291,560 owing to creditors.
