Conduct: In the period from 01 November 2017 to 26 October 2022 (“the period”), Mr Adnan Rafiq (“Mr Rafiq”) failed to ensure that ADNANRAFIQ LTD (“Adnanrafiq”) met all its financial commitments to HM Revenue & Customs (“HMRC”) in respect of Corporation Tax (“CT”) and Value Added Tax (“VAT”) whilst Adnanrafiq continued to trade and he continued to receive funds from Adnanrafiq for his own personal benefit to the detriment of HMRC, in that: CT • Adnanrafiq filed a Tax Return for the year ending 31 January 2016 declaring that £8,651 was due in respect of CT. Adnanrafiq made payments towards this liability, with HMRC claiming £142 remains due. • Adnanrafiq filed a Tax Return for the year ending 31 January 2017 declaring that £9,920 was due in respect of CT, which was due for payment on 01 November 2017. • Adnanrafiq filed Tax Returns for the years ending 31 January 2018 to 31 January 2021 inclusive declaring CT liabilities due to HMRC totalling £58,313. • Adnanrafiq made no payments to HMRC in respect of its Corporation Tax liabilities for the years ending 31 January 2017 to 31 January 2021 inclusive, resulting in, at least £68,233, being due to HMRC at the date of liquidation. VAT • Adnanrafiq submitted VAT returns for the VAT periods ending 08/2014 to 08/2017 inclusive but failed to pay all the VAT due in respect of those VAT returns, and by 01 November 2017, Adnanrafiq owed £16,020 in respect of VAT and surcharges. • Adnanrafiq submitted a VAT return for the VAT period 11/2017 declaring a VAT liability of £3,534, which was due for payment to HMRC on 07 January 2018. • Adnanrafiq submitted VAT returns for the VAT periods ending 02/2018 to 11/2020 inclusive declaring VAT liabilities due to HMRC totalling £45,357. • Adnanrafiq failed to submit VAT returns for the VAT periods ending 02/2021 to 10/2022 inclusive with HMRC raising assessments and surcharges against the company in respect of those VAT periods in the total sum of £48,403. • Adnanrafiq made payments totalling £2,000 to HMRC towards its VAT liabilities during the period, resulting in, at least £46,891, based on the company’s own returns, being due to HMRC at the date of liquidation. Funds to Mr Rafiq • Adnanrafiq’s accounts and trail balance reports show that during the period, CT and VAT liabilities were increasing, whereas Mr Rafiq was being paid remuneration, receiving dividends, and the amount he owed through the operation of his Director’s Current Account was increasing, as: o For the year ending 31 January 2017, Adnanrafiq declared a pre-tax profit of £58,785 and its liabilities included £31,533 due to HMRC. Mr Rafiq received remuneration of £8,040 and the balance due to him on his Director’s Current Account was £509. o For the year ending 31 January 2018, Adnanrafiq declared a pre-tax profit of £9,246 and its only liabilities were £34,203 due to HMRC. Mr Rafiq received remuneration of £8,140 and the balance due on his Director’s Current Account was £26,471. o For the year ending 31 January 2019, Adnanrafiq declared a pre-tax profit of £46,214 and its only liabilities were £94,698 due to HMRC. Mr Rafiq received remuneration of £8,360 and the balance due on his Director’s Current Account was £68,333. o For the year ending 31 January 2020, Adnanrafiq declared a pre-tax profit of £12,522 and its only liabilities were £121,264 due to HMRC. Mr Rafiq received remuneration of £8,400 and the balance due on his Director’s Current Account was £88,970. o For the year ending 31 January 2021, Adnanrafiq declared a pre-tax profit of £29,246 and its only liabilities were £143,475 due to HMRC and £10,000 due to a bank for a Coronavirus Bounce Back Loan. Mr Rafiq received remuneration of £8,400 and the balance due on his Director’s Current Account was £122,385. o In the period, the Director’s Current Account increased by at least £95,914 from £26,471 to £122,385 and Mr Rafiq received remuneration of at least £25,160 plus dividends in his capacity as a shareholder. In comparison, Adnanrafiq made payments to HMRC of £2,000 in respect of its VAT liabilities, thus the CT and VAT liabilities owed increased by £109,272 from £34,203 to at least £143,475. • Adnanrafiq’s bank statements show that between 01 February 2021 to 26 October 2022. o Funds totalling £70,164 were received, which included £22,568 in respect of sales income and £13,718 in respect of funds from Mr Rafiq. o Funds totalling £70,210 were paid from the account, which included £22,459 being paid to Mr Rafiq, and at least £10,627 being paid for the benefit of Mr Rafiq. • HMRC has submitted a claim in the liquidation for £201,812, which includes unpaid Corporation Tax totalling £68,375 and unpaid VAT, assessments, and surcharges, totalling £125,290. • Apart from HMRC and the Bank, Adnanrafiq had no other liabilities at the date of liquidatio
