Conduct: BBH Property 1 Ltd August Richard Templar (previously Matthew Richard Roberts) [“Mr Roberts”] in his capacity as director of BBH Property 1 Ltd [“BBH1”] caused or allowed BBH1 to trade with a lack of commercial probity. In that: • Between 12 November 2013 and 31 March 2015 BBH1, acting through agents, raised monies totalling at least £1,417,605 from members of the public, of which £1,397,605 was received during the period in which he was a director. • The investors were induced to buy shares in special purpose vehicle companies connected to BBH1 on the basis of misleading claims that the monies invested would be used by BBH1 to purchase specified properties at The Convent, Woodchester, Stroud in the name of BBH1, when they were not. • Instead he caused or allowed the solicitors holding the monies to disburse them for other purposes unconnected with the business of BBH1, including: Between 05 February 2014 and 07 May 2014 sums totalling at least £858,295.82 were paid from the BBH1 investor monies to another company of which he was also at all relevant times a director. The receiving company did not use the monies to purchase the specified properties in the name of BBH1. BBH Property 2 Ltd August Richard Templar (previously Matthew Richard Roberts) [“Mr Roberts”] in his capacity as director of BBH Property 2 Ltd [“BBH2”] caused or allowed BBH2 to trade with a lack of commercial probity. In that: • Between 27 February 2014 and 31 March 2015 BBH2, acting through agents, raised monies totalling at least £3,440,000 from members of the public, of which £900,000 was received during the period in which he was a director. The investors were induced to buy shares in BBH2 on the basis of misleading claims that the monies invested would be used to purchase specified properties at The Convent, Woodchester, Stroud in the name of BBH2, when they were not. • Instead he caused or allowed the solicitors holding the monies to disburse them for other purposes unconnected with the business of BBH2, including: Between 27 June 2014 and 28 August 2014 sums totalling £142,715.32 were paid from the BBH2 investor monies to another company of which he was also at all relevant times a director. The receiving company has not used the monies to purchase the specified properties in the name of BBH2, nor has any consideration been given by the receiving company to BBH2 in respect of those monies. Between 13 August 2014 and 21 August 2014 he caused or allowed sums totalling £304,139.08 to be paid from the BBH2 investor monies to solicitors acting for a bridging finance company in part settlement of finance that had been advanced to his wife personally. Those monies have not been used to purchase the specified properties in the name of BBH2.
