Conduct: Symon Harold Blomfield (“Mr Blomfield”) breached his duties as the sole director of Turquoise2 Limited (“T2”) by allowing a third party to have control of the company and failed to put in place any safeguards or controls to ensure that the trading activities being conducted by the third party on behalf of T2, were legitimate and in the best interests of T2. As a consequence: In March 2016 Mr Blomfield set up a bank account with a Latvian Bank but handed over control of the account and the remote access devices to a third party. Mr Blomfield provided the third party with a signed generic introduction letter from T2 to be handed to counterparties regarding the trading of electronic goods. In June 2016 Mr Blomfield was informed by the third party that the company had undertaken purchases and immediate sales during May 2016 without his knowledge. In August/September 2016 Mr Blomfield set up a further bank account with a bank in Montenegro and handed over control of the account to a third party. Mr Blomfield submitted VAT returns for T2 for the periods ended 07/16 and 10/16 on 09 September 2016 and 07 December 2016 respectively which indicated the company made sales of £14,582,018 and purchases of £14,460,604 during the period. HMRC subsequently carried out an investigation and concluded that T2 entered into transactions which were connected with the fraudulent evasion of tax and should have known or ought to have known this was the case. As a result HMRC denied T2 the right to deduct input tax in respect of various transactions totalling £2,061,733.52. At the date of the liquidation the company owed £2,078,632.91 to HMRC comprising of the input tax it was denied from deducting plus interest. It had no other creditors.
