Conduct: Mr Paul Mensah (“Mr Mensah”) failed to ensure that Williams CM Ltd (“Williams CM”) maintained and/or preserved adequate accounting company records, or in the alternative, following liquidation failed to deliver up such records as were maintained and/or preserved to the Liquidator for the period 01 March 2020, the first day after the last set of accounts, to 30 May 2022, the date of liquidation. As a result, it is not possible to: Verify whether £1,942,500 paid into the bank account of Williams CM from 01 March 2020 to Liquidation represents total legitimate income of the company. Verify whether £1,952,346 paid from the bank account of Williams CM from 01 March 2020 to Liquidation represents total legitimate expenditure of the company. Establish the extent and nature of Mr Mensah’s remuneration from 01 March 2020 to Liquidation. Verify whether the £50,000 loan introduced into the company on 12 May 2020, via a government guaranteed Bounce Back Loan scheme with the express intention of providing economic benefit to the business, was utilised for this purpose. Establish the benefit gained by the company after it obtained a loan of £160,000 which was then transferred to a connected company. Establish the nature of transactions with third parties including; whether payments totalling £25,296 to a third party between 01 September 2020 to 12 January 2022 were payments in the normal course of business. The reason why payments totalling £56,965 were paid to a loan company which were outside the repayment agreement. The reason for £17,500 being paid to an associated company on 10 May 2021. Verify the true liability to HMRC. At Liquidation, HMRC made a claim totalling £93,278 which consists of PAYE. At Liquidation, £286,124 was owed to creditors.
