Conduct: From 15 July 2021 Daryl Dylan (“Mr Dylan”) acted in breach of his duties as a director in relation to OLDCOCDT Ltd (“OLDCOCDT”) and OLDCOSTL Ltd (“OLDCOSTL”) (“the companies”) in that: • On 29 April 2021, Mr Dylan signed bank account application forms for the companies naming a third-party individual as “Primary Contact” in relation to the accounts; • Clause 5.1.1 of the bank’s corporate terms and conditions stated that “If the Customer does not have Sufficient Funds for a payment, … [the bank] may treat the instruction as a request for an Unarranged Overdraft. If… [the bank] allows the Unarranged Overdraft, the Customer…must repay the overdrawn amount on demand…”; • On 26 May 2021, four bank accounts were opened for the companies; • On 15 July 2021, the bank accounts for the companies were used for the first time and, from this date, as sole de jure director, Mr Dylan failed to adequately monitor their use; • Between 15 July 2021 and 10 September 2021, Mr Dylan allowed unarranged overdrafts on the OLDCOCDT accounts to be used to make net payments of £1,042,220, most of which was comprised of transfers to connected companies, and he failed to ensure those funds could be repaid to the bank on demand, as per the corporate terms and conditions; • Between 15 July 2021 and 06 September 2021, Mr Dylan allowed unarranged overdrafts on OLDCOSTL accounts to be used to make net payments of £586,454 to a connected company, without ensuring those funds could be repaid to the bank on demand as per the corporate terms and conditions; • On 24 September 2021, the companies’ accounts were frozen by the bank, who launched an investigation, asking the Primary Contact to explain a) why the transfers were made; and b) where the £1,628,674 transferred out of the companies’ accounts had gone; • On 07 October 2021, the bank issued demands for immediate repayment of unarranged overdrafts in respect of the companies, in the sum of £1,056,970 for OLDCOCDT and £600,114 for OLDCOSTL; • No repayment was made in respect of the demands and on 02 November 2021 the companies entered provisional liquidation, followed by compulsory liquidation on 26 January 2022. The transfers were not in the best interests of the companies and were not likely to promote their success in breach of s172 Companies Act 2006 and/or, in allowing the companies to make the transfers set out above, Mr Dylan failed to act with reasonable care, skill and diligence in breach of s174 Companies Act 2006. In doing so he failed to exercise the standard of care, skill and diligence expected of a director responsible for the affairs of a company. The bank has submitted claims in the liquidations totalling £1,657,084 (excluding interest) in respect of the overdrafts on the companies’ accounts.
