Conduct: Orachorn Williams (“Mrs Williams”) failed to exercise her duties as a director and ensure that Turtle Covers Limited (“Turtle) complied with its statutory obligation to submit Value Added Tax (“VAT”) returns to HM Revenue and Customs (“HMRC”) from 07 January 2014 and allowed Turtle to trade to the detriment of HMRC from 01 April 2016 to the date of her resignation on 01 September 2018 in that: • Vat Returns for the quarters ended 31 May 2012 to 31 August 2013 were not submitted until November 2013 resulting in a net liability to HMRC of £17,717 against which a surcharge of £487 was charged; • The VAT Return for quarter ended 31 August 2013 was not submitted until May 2014 with a liability to HMRC of £3,859 against which a surcharge of £579 was charged; • No further VAT Returns were submitted and VAT Assessments were raised by HMRC for quarters ended 30 November 2013 to 31 May 2018 resulting in a total liability of £38,326 and surcharges of £2,506; • Turtle made total payments to HMRC in respect of the VAT of £64,712 in the period to 01 September 2018; • Turtle’s records show that actual VAT due in the period from quarters ended 31 May 2012 to 31 May 2018 was £481,494 against which surcharges of at least £56,739 have been charged by HMRC. In comparison • Financial statements for the year ended 31 March 2016 show the liability due to HMRC of £170,745, of which £163,408 was due for VAT, while other liabilities total £88,334; • Financial statements for the year ended 31 March 2018 show the liability due to HMRC of £429,649, of which £427,472 was due for VAT, while other liabilities total £64,268; • At the date of Administration on 15 February 2019 the Statement of Affairs includes the liability due to HMRC for VAT of £580,255, while other liabilities total £9,215. • Bank statements show that between 1 April 2018 and 1 September 2018, the date of Mrs Williams resignation, sums totalling £637,521 were paid into whilst £657,690 were paid from the bank account. Of the £657,690 paid out of the bank account £82,833 was paid to HMRC, of which £4,785 was for VAT. The remaining £574,857 were used to pay trade creditors, dividends and or other operational costs.

Conduct: From at least 7th April 2012 you failed to ensure that Turtle Covers complied with its statutory obligations to submit timely VAT returns and from no later than least 7th January 2014 caused Turtle Covers to trade to the detriment of HMRC. A) Turtle Covers submitted VAT returns to HMRC by up to 19 months late for the periods ending February 2012 to August 2013 and thereafter failed to submit any VAT returns for the next 21 VAT periods from that ending November 2013 (which was due for submission and payment no later than 7th January 2014) to November 2018. b) In the absence of VAT returns being submitted by Turtle Covers, HMRC raised central computerised assessments and surcharges for the VAT periods ending November 2013 to November 2018, totalling £45,912.40, all of which was settled. However, Turtle Covers records list outstanding HMRC VAT liabilities at £528,238.16 as at 14th February 2019. c) HMRC has submitted an interim claim for £32,028.15 in respect of direct taxes and has advised of VAT assessments totalling £65,691.26. d) The summarised accounts prepared for Turtle Covers and the statement of affairs show Turtle Covers’ HMRC liabilities increasing from £19,993 as at 31st March 2013 to £593,929.42 as at Administration. E) The available bank statements show that between 17th February 2017 and 15th February 2019, the date of Administration, sums totalling £3,024,258.42 were paid into whilst £3,006,617.47 were paid from the bank account. Of the £3,006,617.47 paid out of the bank account £382,276.64 was listed as being paid to HMRC. The remaining £2,624,340.83 was used to pay trade creditors, dividends, and or other operational costs.
