Annual accounts for The Japanese Canteen Limited for the period ending 30 September 2021 record that the company was balance sheet insolvent at the date of Peter Clarke’s appointment as a director for The Japanese Canteen Limited. Management accounts for The Japanese Canteen Limited for the period ending 30 September 2022 record that the company remained loss making and balance sheet insolvent. The Japanese Canteen Limited was also unable to pay all of its third-party unsecured liabilities as at the date Peter Clarke was appointed as a director in that it failed to make any payments to its landlord in respect of liabilities accrued for rent, service charges and insurance from at least August 2020. The Japanese Canteen further failed to adhere to time to pay agreements reached with HMRC in respect of PAYE and NIC from at least 22 February 2022, resulting in additional outstanding tax liabilities of at least £112,135.06 in the period Peter Clarke was a director for the company. Despite this, Peter Clarke caused and or allowed The Japanese Canteen Limited to make net loans of at least £66,726 to a balance sheet insolvent connected group company, in the period 16 August 2022 to 30 September 2022, when there was little if any realistic prospect of these loans being repaid. Peter Clarke was formerly also a director for this connected group company. Peter Clarke further caused or allowed The Japanese Canteen Limited to make further net payments of at least £418,621.00 to further connected group companies in the period 14 September 2022 to 09 January 2023. Peter Clarke has advised the Insolvency Service that he is unable to provide any information as to the purpose of these payments.

These loans and payments were made whilst The Japanese Canteen Limited was balance sheet insolvent, was unable to pay all of its unsecured third-party liabilities as and when due, and were made to the detriment of the company’s creditors in that: The Japanese Canteen Limited commenced trading in or about September 1996 and was concerned with the operation of licensed restaurants. Parvez Mahmood was appointed as a director for The Japanese Canteen Limited on 24 June 2021 following the acquisition of the company’s share capital by a further company. The Japanese Canteen Limited was balance sheet insolvent and unable to pay all its liabilities as and when due at the date of Parvez Mahmood’s appointment as a director for The Japanese Canteen Limited. Annual and management accounts for The Japanese Canteen Limited for the periods ending 30 September 2021 and 30 September 2022 record that the company remained loss making and balance sheet insolvent. The Japanese Canteen Limited was unable to pay all of its third-party unsecured liabilities as and when due from at least August 2020, in that it failed to make any payments to its landlord in respect of liabilities accrued for rent, service charges and insurance from at least August 2020. The Japanese Canteen further failed to adhere to time to pay agreements reached with HMRC in respect of PAYE and NIC from at least 22 February 2022, resulting in additional outstanding tax liabilities of at least £215,867.26 from this date. Despite this, Parvez Mahmood caused and or allowed The Japanese Canteen Limited to make net loans of at least £1,119,170.86 to a balance sheet insolvent connected company in the period 08 July 2021 to 30 September 2022, when there was little, if any, realistic prospect of these loans being repaid. Parvez Mahmood further caused and or allowed The Japanese Canteen Limited to make additional net payments of at least £451,321.00 to further connected group companies in the period 01 April 2022 to 09 January 2023. Parvez Mahmood has failed to provide the Insolvency Service with any explanation as to the purpose of these payments.
