In that: • ES Manufacturing entered into twenty-five HP agreements between 13 February 2018 and 7 October 2020 in respect of construction goods and equipment to the value of at least £3,212,323. • As at 26 February 2021, the date ES Manufacturing entered Administration, goods and equipment that were subject to HP agreements could not be located and were subsequently unable to be recovered by the administrators or owners resulting in outstanding amounts of £2,478,224. • This has resulted in ES Manufacturing breaching the terms of the HP agreements by failing to maintain possession and keep control of the goods and equipment. Mrs James caused ES Manufacturing to sell goods that were secured under a debenture without permission of the charge holder. In that:- • On 16 January 2015, ES Manufacturing granted a debenture, containing a fixed and floating charge on the company’s assets. • ES Manufacturing entered two Sale and Hire Purchase (“HP”) Back agreements with a bank, on 3 February 2020 and 9 November 2020, selling goods owned by ES Manufacturing valued at £789,230. • The Sale and HP Back agreements were entered without authority of the debenture charge holder and no notification was provided to the bank of the requirement for a Debenture Holders Waiver. • As of 26 February 2021, the date ES Manufacturing entered Administration, the goods subject to the hire purchase agreements were unable to be recovered by the bank as they were claimed under the debenture. This resulted in a loss to the bank totalling £655,274 due to the shortfalls on the Sale and HP Back agreements
