Conduct: In the period between 8 April 2020 and 21 June 2024, the date of liquidation, Ms Chelsea Stewart “Ms Stewart”) failed to ensure that CS Commercial Solutions Ltd (“CSCS”) maintained and/or preserved adequate accounting records, or in the alternative failed to deliver up adequate accounting records, such that it has not been possible to verify the following: • Whether expenditure totalling £398,503 has been expended for the benefit of CSCS. • What the purpose of the amounts totalling £307,954 paid out to Ms Stewart’s personal bank account was and whether these payments were for the benefit of CSCS. • Whether the BBL funds totalling £23,750 paid into the company bank account on 16 June 2020 were used for the economic benefit of CSCS. • Whether income totalling £391,258 is a true reflection of all sales. • Whether the debtors totalling £40,551 at 7 April 2020 were collected for the benefit of CSCS. • Determine whether the amounts cited as due to HMRC are the true extent of all sums owed to HMRC. HMRC submitted a petition to wind up CSCS on 13 May 2024, following which, a Wind Up Order was made on 21 June 2024 with amounts owed of £90,372. • Establish the Directors Loan Account ( DLA) position. • Whether there were any employees of the company and whether the CSCS should have registered for Pay As You Earn with HMRC. • Whether there were any other creditors between 7 April 2020 and the date of liquidation. • Establish what the true financial position of CSCS is at liquidation, which is aggravated by Ms Stewart’s failure to ensure that CSCS filed accounts for 2021, 2022 and 2023.
