Conduct: Sean Cairnduff (Mr Cairnduff) (“the director ”) caused L&B (Glasgow) Limited (“the company”) to trade to the detriment of HM Revenue & Customs (“HMRC”) in respect of VAT from 7 September 2016 and RTI PAYE from 22 May 2016 resulting in a total unpaid liability to HMRC for VAT of £388,162 and PAYE of £195,331, a total of £583,493 at liquidation in that: VAT

  • Following the submission of late VAT returns for VAT quarters July 16 to July 17 (5 quarters) declaring a total VAT liability of £311,024 attracting surcharges of £34,587, the company made payments totalling £102,157. Direct Debits for VAT quarters January, April 2017 and July 2017 were dishonoured leaving a liability owed to HMCE of £243,454.
  • No further VAT returns were made and HMRC raised 2 further assessments totalling £125,833, attracting surcharges of £18,875, for October 17 to January 18, leaving a total amount due at the liquidation of £388,162. RTI PAYE:
  • Against a declared liability of £119,705 for tax year 2016/2017, HMRC granted an employers allowance of £3,000 leaving the company with a liability of £116,705 against which the company made payments of £61,346 resulting in an unpaid liability at liquidation of £55,359.
  • Against a declared liability of £142,972 for tax year 2017/2018, HMRC granted an employers allowance of £3,000 against which the company made no payments leaving the company with a liability of £139,972 at liquidation. COMPARATIVE TREATMENT:
  • The bank statements reveal that in the period 3 January 2017 to 5 April 2018 payments totalling £2,008,821 were made. An analysis of the payments disclosed that trade and expense creditors received £1,424,741, the council received £60,819, the debenture holder received £31,500, employees received £566,336 and he received a net amount of £12,050. In comparison, despite HMRC pressing for full payment from May 2017 onwards, HMRC received £50,634.
  • Sage accounts maintained for the company for the period January 2017 to December 2017 show Petty cash payments for trade of £46,523, and wages of £36,841.
  • The position at liquidation was total liabilities of £853,310, where £592,492 is owed to HMRC for VAT and PAYE, £30,555 is owed to the debenture holder, £42,000 is owed to him and the trade creditors are owed £188,262.
