Conduct: 1. In the period between 10 November 2021 and 07 December 2022, Mr Mariwan Sayda (“Mr Sayda”), whilst appointed as the sole registered director of Tabula Trading Ltd (“Tabula”), demonstrated a lack of stewardship failing to exercise reasonable care, skill and diligence, in that: 1.1 Mr Sayda said that he agreed to become a director of Tabula at the request of other individuals who he said were in control of Tabula. 1.2 Mr Sayda received at least £14,000 from Tabula in the period whilst he was its sole registered director. 1.3 Mr Sayda said that he was not involved in the management, decision making, or the day to day running of Tabula, and as a result: 1.3.1 Mr Sayda did not have access to Tabula’s accounting records and was unable to deliver up any of Tabula’s accounting records to the Liquidator. 1.3.2 Despite being named as the account holder for a bank account opened for Tabula on 04 January 2022, Mr Sayda was not involved in the opening or the operation of this bank account and he is unable to verify, and/or provide any of Tabula’s accounting records to verify, that the transactions conducted through this bank account between 17 February 2022 to 07 December 2022, which consisted of receipts totalling £2,837,769 and payments of at least £2,745,946, represented genuine business income and expenditure. 1.3.3 Despite being named as the account holder for a further bank account opened for Tabula on 18 February 2022, Mr Sayda was not involved in the opening or the operation of this further bank account and he is unable to verify, and/or provide any of Tabula’s accounting records to verify, that the transactions conducted through this further bank account between 25 March 2022 and 23 November 2022, which consisted of receipts totalling at least $5,669,886 and payments of $5,794,518 and receipts totalling £96,350 and payments of at least £96,057, represented genuine business income and expenditure. 1.3.4 Despite being named in the application for Tabula to become registered for VAT, Mr Sayda was not involved in the production or the submission of Tabula’s nil VAT return for its 12/2021 VAT period, and Tabula’s VAT returns for its 03/2022, 06/2022 and 09/2022 VAT periods declaring VAT liabilities totalling £1,090,895, and was not involved in making payments totalling £75,000 to HMRC in respect of Tabula’s VAT liabilities. 1.4 HMRC has a claim totalling £1,308,247 consisting of outstanding VAT liabilities, which resulted from Tabula’s 03/2022, 06/2022 and 09/2022 VAT returns, a VAT assessment of £267,728 for Tabula’s 12/2022 VAT period and VAT surcharges of £24,624.
