Conduct: Mr Luke Thomas Allick ('Mr Allick') caused Spaldington Resort Ltd ("SRL") and/or Luxury Holiday Business Ltd ("LHB") to promote and operate the Spaldington Eco Resort investment scheme without ensuring compliance with the applicable regulatory regime, in particular, Mr Allick failed to ensure that the investment was registered with the Financial Conduct Authority ('FCA') as a Collective Investment Scheme (CIS) or that the investment complied with the requirements of an Unregulated CIS, in that: • The report to creditors for each company states that: o SRL was incorporated to acquire land for the development of a holiday lodge park; o LHB was incorporated to be a property development business to create top of the range holiday parks and was responsible for the planning and managing operations; • LHB issued a brochure and obtained investors into the scheme who would purchase holiday lodges; • The operation of this investment fell within the definition of a CIS set out in the Financial Services and Markets Act 2000, in that: o Income from the purchasers was pooled; o Returns, as set out in the brochure, were fixed in proportion to the value of the lodge purchased; o The lodges were to be centrally managed by LHB; o There were restrictions on what the purchasers could do with their lodges. • Notwithstanding the above, Mr Allick did not sought advice on whether the investment scheme should have been regulated by the FCA or registered • An unregulated CIS cannot be promoted to members of the general public, but only to certified high net worth, or sophisticated investors, or to self-certified sophisticated investors; • Purchasers of the lodges/investors had advised that they were not either high net worth, or sophisticated investors; • Mr Allick has been unable to provide any evidence that risks were explained to the investors, or that any steps were taken to ascertain their investment experience or net worth; • Only the show lodge was delivered to site and the statement of affairs records that 27 purchasers/investors were owed a total of £4,159,614. 2. Mr Allick caused SRL and LHB to provide assurances to the proposed purchasers of the lodges which were either inaccurate or were unsubstantiated. Those assurances were relied upon by investors/purchasers when deciding to proceed with their purchases. In that: • A document headed with LHB's logo was provided to investors prior to their purchase of their lodge and/or a document with the same answers was provided by solicitors recommended to the purchasers by Mr Allick; • These documents stated that the seller was not aware of any matter which could lead to a claim by any person or body regarding the land or construction of the building. • This statement was incorrect as the land purchase was financed by a bridging loan which had been secured by registered charges; • The documents also stated: o That the business had professional indemnity insurance which would cover any claim for mis-selling. O The land was worth around £3.5million; and o LHB had options over further land which was very valuable; • These statements were inaccurate/unsupported as: o Mr Allick failed to disclose his directorship of a company in liquidation to the insurers, which may have invalidated any insurance o The insurance policies were held in the name of LHB; however, the underlying contracts were entered into by SRL, creating a discrepancy between the insured entity and the contracting party. O The only evidence provided to support a valuation of £3.5million was an email from an estate agent from August 2023, which substantially post-dated the issue of the document(s); o The land options were held by another limited company and lapsed on the liquidations of SRL and LHB.
