Conduct: From 09 July 2021 Jack Mason (“Mr Mason”) acted in breach of his duties as a director in relation to OLDCOA Ltd, OLDCOB Ltd, OLDCC Ltd, OLDCOD Ltd, OLDCOAAB Ltd, OLDCOFFB Ltd, OLDHOLDCOA Ltd and OLDOPSCOA Ltd, (“the eight companies”) in that: • Between 18 May 2021 and 08 August 2021, bank account application forms, authorities and mandates for the eight companies containing Mr Mason’s signature and naming a third-party individual as “Primary Contact” in relation to the accounts were provided to the bank; • Clause 5.1.1 of the bank’s corporate terms and conditions stated that “If the Customer does not have Sufficient Funds for a payment, … [the bank] may treat the instruction as a request for an Unarranged Overdraft. If… [the bank] allows the Unarranged Overdraft, the Customer…must repay the overdrawn amount on demand…”; • Between 20 May 2021 and 27 August 2021, 16 bank accounts were opened for the eight companies; • The eight companies’ bank accounts were used between 09 July 2021 and 24 September 2021 and as sole de jure director, Mr Mason failed to adequately monitor their use; • Between 09 July 2021 and 24 September 2021, Mr Mason failed to prevent unarranged overdrafts on the accounts to be used to make net payments of £12,073,646 to connected companies, without ensuring those funds could be repaid to the bank on demand, as per the corporate terms and conditions; • On 24 September 2021, the companies’ accounts were frozen by the bank, who launched an investigation, asking Mr Mason and the Primary Contact to explain a) why the transfers were made; and b) where the £12,073,646 had gone; • On 07 October 2021, the bank issued demands for immediate repayment of unarranged overdrafts in respect of the companies, in the combined sum of £11,919,226 (including CHAPS fees and interest); and • No repayment was made in respect of the demands and on 02 November 2021 the companies entered provisional liquidation, followed by compulsory liquidation on 26 January 2022. The transfers were not in the best interests of the eight companies and were not likely to promote their success in breach of s172 Companies Act 2006, in failing to prevent the eight companies from making the transfers set out above, Mr Mason failed to act with reasonable care, skill and diligence in breach of s174 Companies Act 2006. The bank has submitted claims in the liquidations of the eight companies totalling £11,919,226 (excluding interest) in respect of the overdrafts on the eight companies’ accounts.
