Conduct: On 03 June 2020 Mr Khan caused IVSDL to apply for a Government-backed Bounce Back Loan (“BBL”) of £20,000 when he knew, or ought to have known that IVSDL was not eligible for a BBL in the sum of £20,000. In that: • The BBL scheme permitted a loan of up to 25% of a business’ estimated annual turnover in circumstances where the applicant company was incorporated after 01 January 2019; • IVSDL was incorporated on 11 November 2019; • IVSDL opened a bank account on 31 December 2019; • The first transaction on the account occurred on 07 January 2020; • Gross receipts into the account (excluding the BBL), for the period from 31 December 2019 up until 13 October 2020, totalled £27,493; • On 03 June 2020 Mr Khan applied for a BBL of £20,000 and stated that IVSDL’s estimated turnover was £85,000; • On 13 October 2020, IVSDL was dissolved, at which time £20,000 remained outstanding in respect of the BBL. Mr Khan caused IVSDL to be dissolved and struck off the register in breach of Sections 1004 and 1006 of the Companies Act 2006. In that: • Under S1004 of the Companies Act, an application to strike off a limited company may not be made, if at any time in the previous three months, the company has traded or otherwise carried on business, • Mr Khan signed a form DS01 “Striking off application by a company”; on 30 June 2020 • The form was filed with the Registrar of Companies on 14 July 2020; • Between 01 April 2020 and 30 June 2020 IVSDL made payments totalling £25,102 from its business current account. • Between 01 April 2020 and 30 June 2020 IVSDL received £25,110 into its business current account; • IVSDL applied to its bank for a BBL on 03 June 2020; • The BBL application was signed by Mr Khan and in completing the BBL application, Mr Khan confirmed that IVSDL was “engaged in trading or commercial activity in the United Kingdom as at the date of this application” • As at 30 June 2020 (the date of the form DS01), the bank was a creditor of IVSDL in respect of the amount owed under the BBL of £20,000; • Under S1006 of the Companies Act at any time after the date on which a company makes an application for voluntary striking off and before the date on which the application is dealt with, the director must ensure a copy of the application is given to any person who becomes a creditor, member, employee of the company within seven days • The bank was not provided with a copy of the form DS01 or otherwise notified of the strike off and dissolution application; • The bank processed two debit payment requests, on behalf of IVSDL, totalling £24.15, on 22 October 2020; • IVSDL was formally struck off the Register and dissolved on 13 October 2020.
