Conduct: 1. Mr Raja caused or allowed Roshies Ltd ("Roshies") to apply for a Bounce Back Loan ("BBL") in the sum of £50,000 using overstated turnover figures in the application form. Consequently, Roshies received more monies than it was entitled to receive from the BBL scheme. In that: • Roshies was incorporated on 4 July 2019 and the directors state that trading began on 7 October 2019. • Till records show that sales commenced on 24 October 2019 and trading income began to be received on or after 22 November 2019. • Roshies applied for a BBL in the sum of £50,000 which was received into its bank account on 20 May 2020. • A business could apply for a BBL of between £2,000 and £50,000 subject to a maximum of up to 25% of turnover in the calendar year 2019. If the business was established after 01 January 2019 the 25% limit was applied to its estimated annual turnover from the date that the business started. • For Roshies to receive a £50,000 BBL it would have declared it had estimated annual turnover from the date it began trading of £200,000 or more. • Examination of Roshies bank account and till records shows that during a seven-month period between 24 October 2019 to 19 May 2020 sales and banking credits from its online food delivery partners totalled £36,613. It is estimated, through examination of Roshies till records, banking records and information provided by the directors, that Roshies’ turnover from its online food delivery partners in the seven-month period before deductions of commission, promotions and advertising was approximately £41,064. • No annual accounts were produced, and the directors have not delivered up adequate accounting records to verify Roshies cash sales. • On the available information Roshies estimated turnover in a 7-month period from 24 October 2019 and 19 May 2020 was approximately £41,064 . On the information available to the directors, they ought to have estimated Roshies annual turnover of approximately £70,395. Consequently, Mr Raja caused or allowed Roshies to overstate its annual turnover to receive a £50,000 BBL. • Between 22 May 2020 and 24 July 2020, the sum of £41,500 was withdrawn from Roshies’ bank account in cash. • No repayments were made towards the BBL. • Liabilities at the date of liquidation on 8 October 2021 amount to £56,491 of which £50,000 relates to the BBL. 2. Mr Raja failed to ensure Roshies (“Roshies”) maintained and/or preserved adequate accounting records or in the alternative, following liquidation, he failed to deliver up to the Liquidator when required such records as were maintained and/or preserved. Additionally, Mr Raja caused or allowed falsified accounting which were subsequently relied upon by the directors to account for cash expenditure and cash withdrawals from Roshies bank account. As a result, it is not possible to • Verify whether £50,000 introduced to the company on 20 May 2020 by way of a Government Guaranteed Bounce Back Loan (“BBL”) and which £41,500 was withdrawn from Roshies’ bank account in cash between 22 May 2020 and 24 July 2020 was utilised for the economic benefit of the business. • Verify the amount of cash sales made by Roshies. • Verify how much cash was removed from the till on a daily basis. • Verify the amount of cash paid to Roshies’ food delivery contractors due to the provision of falsified accounting records. Consequently, Mr Raja did not exercise the required control to ensure the accounting records of Roshies had been maintained correctly. • Verify the purpose of cash withdrawals from Roshies’ bank account from the 22 May 2020 to 13 August 2021 in the sum of £48,000 of which only £26,179 can be accounted for from the available records.

On the information available to the directors, they ought to have estimated Roshies’ annual turnover of approximately £70,395 Consequently Mr Al-Kufaishi overstated Roshies’ annual turnover to receive a £50,000 BBL. • Mr Al-Kufaishi stated he used a projected turnover figure of £200,000 to apply for a BBL of £50,000. • Between 22 May 2020 and 24 July 2020, the sum of £41,500 was withdrawn from Roshies’ bank account in cash. • No repayments were made towards the BBL. • Liabilities at the date of liquidation on 8 October 2021 amount to £56,491 of which £50,000 relates to the BBL. 2. Mr Al-Kufaishi failed to ensure Roshies Ltd (“Roshies”) maintained and/or preserved adequate accounting records.
