Conduct: Two BBLs Mr Stockton caused Truth Nightclub Ltd ("TNL") to apply for two BBLs. The first BBL application for £45,000 was made to Virgin Money (trading name of Clydesdale/Yorkshire Bank) and declared turnover for calendar year 2019 of £200,000. The second BBL application was made to HSBC and declared turnover for calendar year 2019 of £150,000. Mr Stockton – Targeted director Mr Stockton has engaged with the investigation and was a registered director throughout and made both the BBL applications. Mr Stockton is targeted. Mr Stockton is currently being assisted by Stan Saxton ("Mr Saxton") of Bookkeepers Direct. Mr Wharam – Not Targeted Mr Robert Lee Wharam ("Mr Wharam") resigned on 24 March 2020 before either of the BBL applications were made and is not targeted. Books and Records No books and records have been delivered up to the Liquidator. A books and records allegation has been considered. However, TNL's bookkeeper, S N Bookkeeping and Accountancy Services ("SNB"), has not responded substantively to enquiries and has not delivered up any books and records to the Liquidator. Mr Saxton of Bookkeepers Direct has stated, on behalf of Mr Stockton, that SNB have not kept the records because they (SNB) did not think they were required to be retained. Mr Saxton's letter dated 27 July 2023 states "we are advised that Ms Nowondy “threw away” the records of prime entry as she thought they were no longer needed" (Evidence Pack pages 219). Therefore, a books and records allegation is not being pursued as a standalone allegation. No significant over statement of turnover TNL has only filed one set of accounts at Companies House for the period ending 30 April 2020. The filed accounts do not record turnover. TNL was incorporated on 13 April 2019 and therefore was permitted to estimate turnover. Whilst TNL's bookkeeper (SNB) has not responded to requests for information, Bookkeepers Direct have provided a P&L account for the period 1 May 2019 to 30 April 2020 which records turnover of £180,554.75 (Evidence Pack page 228). The Virgin Money bank statements record receipts of £92,469.36 in 2019. The HSBC bank account statements do not record any trading receipts for 2019. The Virgin Money bank statements record receipts of £92,469.36 for the 6 months TNL was trading in 2019. Therefore, based on the £92,469.36, TNL received in the 6 months it was trading, TNL's monthly average for the 6 months was £15,411.56. Over the course of 12 months, TNL could have received approximately £184,920.72 and would have been entitled to a BBL of £46,230.18. This is in line with the turnover given in the P&L account for the year 1 May 2019 to 30 April 2020. The Investigator has estimated turnover of £184,920.72 . Misuse of BBL funds It is difficult to ascertain whether TNL misused the BBL funds. Whilst TNL has a number of unexplained transactions (see below), it is difficult to attribute these to the BBL as TNL had a large volume of transactions on the bank account. As noted above, SNB have not responded to our request for information, but Bookkeepers Direct state that Ms Nowodny of SNB "threw away" the records as she thought they were no longer needed (Evidence Pack page 219).
