Conduct: On 10 March 2023 Leigh Ann Jeffrey (“Mrs Jeffrey”) as a director of Meat Factory Outlet Limited (“Meat Factory”) caused Meat Factory to make payments totalling £58,500 to a connected company and to the detriment of the general body of Meat Factory’s creditors at a time when she ought to have known that Meat Factory was insolvent and had no reasonable prospect of avoiding liquidation, in that: On 09 February 2023 a winding up petition was presented to the business and property courts in Manchester by a creditor of Meat Factory for a debt in the amount of £16,065. The petition noted that a formal demand for repayment was made on 12 January 2023. Meat Factory was served notice of the petition on 21 February 2023. By 01 March 2023 at the latest, Meat Factory had been evicted from its trading premises and a new tenant had moved in, Meat Factory had been served a winding up petition and the company bank account was overdrawn; as such Mrs Jeffrey ought to have known that Meat Factory was insolvent and that there was no reasonable prospect of Meat Factory avoiding liquidation. On 10 March 2023 Meat Factory received a VAT repayment from HMRC in the amount of £60,846, which cleared an overdrawn amount of £70 and brought the current account balance to £60,776. On 10 March 2023 Meat Factory then made two payments totalling £58,500 to a connected company of which Mrs Jeffrey was the sole appointed director. On 28 March 2023 a winding up order was made against Meat Factory. During the liquidation of Meat Factory creditor claims were made totalling £788,814. Mrs Jeffrey stated to the Insolvency Service that the connected company in receipt of the £58,500 was and remained a large creditor of Meat Factory, however, no claim has been made by that company in Meat Factory’s liquidation, and no supporting records have been provided to evidence the inter-company position.
