Conduct: In the period from 29 November 2020 to 24 April 2024 (“the Period”), Richard Kelshaw (“Mr Kelshaw”) withdrew funds totalling a net amount of £273,423 from RK Project Controls Limited (“RKPC”) which was to the risk and ultimate detriment of HMRC, in that: CT • On 05 November 2020, RKPC filed a CT Return for the year ending 29 February 2020 declaring that £15,966 was due in respect of CT. RKPC subsequently made payments totalling £2,382 which HMRC allocated against this liability, with £13,584 outstanding in respect of CT for the year ending 29 February 2020. • On 04 January 2022, RKPC filed a CT Return for the year ending 28 February 2021 declaring that £22,324 was due in respect of CT. RKPC subsequently made payments totalling £3,000 which HMRC allocated against this liability, with £19,324 outstanding in respect of CT for the year ending 28 February 2021. • On 26 January 2023, RKPC filed a CT Return for the year ending 28 February 2022 declaring that £53,364 was due in respect of CT. No payments have been made in respect of this liability, therefore the full amount of £53,364 remains outstanding. • At the date of liquidation, £86,272 was due to HMRC in respect of CT, with an additional £7,368 being due in respect of interest payments VAT • At the start of the Period, £17,069 was due in respect of VAT. • RKPC submitted a VAT return for the VAT period 11/20 declaring a VAT liability of £6,081 which was due for payment to HMRC on 05 January 2021. RKPC made payments totalling £5,842 towards this liability, with £239 remaining outstanding. • RKPC submitted VAT returns for the VAT periods 02/21 to 02/22 inclusive, declaring VATs liabilities totalling £35,551. No payments were made in respect of these liabilities. • RKPC failed to submit VAT returns for the VAT periods ending 05/22 to 11/22 inclusive, with HMRC raising assessments against the RKPC in respect of those VAT periods totalling £20,653 • Mr Kelshaw stated that RKPC stopped trading on 23 December 2022. During the Period, at least £56,443 of VAT liabilities were accrued. • At the date of liquidation, at least £88,466 was due to HMRC in respect of VAT, including £7,009 relating to assessments raised after the date at which Mr Kelshaw stated RKPC ceased trading, and £7,945 in respect of related surcharges, penalties and interest Funds to Mr Kelshaw • During the Period, a total of £27,198 was paid to HMRC, £15,221 to other parties and £303,576 to Mr Kelshaw, of which at least £46,620 is known to be from a Director’s Loan account and at least £95,500 being dividend payments. Mr Kelshaw also paid £30,153 into RKPC, leaving a net figure paid to Mr Kelshaw of £273,423. • HMRC has submitted a claim in the liquidation for £189,153 plus petition costs of £3,558. • Apart from the amount owed to HMRC, RKPC had no other liabilities at the date of liquidation.
