Conduct: Alisa Malachovic (“Ms Malachovic”) allowed a fellow director (“Director A”) to act as a director of Eco Building Specialists Limited (“Eco”) in contravention of a Disqualification Undertaking he had given, whilst Ms Malachovic was an appointed director of Eco from 24 March 2023 to Liquidation on 3 January 2024, when Ms Malachovic knew, or ought to have known, that Director A was disqualified from so acting, in that – • Eco was incorporated on 24 January 2018 with Director A being appointed its sole director and shareholder • On 16 December 2020 Director A resigned as a director, remaining sole shareholder • On 16 February 2022 Director A gave a 3 ˝ year Disqualification Undertaking, effective from 9 March 2022, in relation to his conduct in a previous insolvency, not to ‘be a director of a company, act as receiver of a company’s property or in any way, whether directly or indirectly, be concerned or take part in the promotion, formation or management of a company …’ • Ms Malachovic was appointed sole director of Eco on 24 March 2023 and remained sole appointed director until Eco’s Liquidation on 3 January 2024. • Throughout Director A continued as sole shareholder of Eco • Throughout Director A retained responsibility for sourcing and managing projects, customers believing Director A to be a director of Eco. No financial limit was imposed on Director A’s ability to contract on behalf of Eco. Customer disputes including legal actions were handled by Director A. • Director A retained insight into Eco’s financial management, being ultimate decision-maker on creditor payments. Director A retained signing authority on Eco’s bank account. • Director A’s remuneration was at least equal to that of the appointed directors, Director A also received benefits not received by the appointed directors. • Eco’s former Accountants considering “Even after he ceased to be a director his position gave him undue influence over the business.” • A fellow director of Ms Malachovic states they became aware of Director A’s disqualification in conversation with Director A and Ms Malachovic in late 2021 or early 2022. • Accordingly during the period that Ms Malachovic was an appointed director of Eco, she knew or ought to have known of Director A’s disqualification from acting as a Director of Eco, and thus allowed him to so act.
