Conduct: Deborah Jegbefume Forson (“Mrs Forson”) abrogated her duties as a director to Payguarantors Ltd (“Payguarantors”) in that she took no part in the direction of the company, in particular from the date she became sole director in December 2020. Mrs Forson states that she relied on staff and advisors to run the company. In doing so she failed to establish how a payroll company should operate and report its responsibilities in respect of HMRC, with the consequence that Payguarantors continued with tax under declaration practices which it had operated prior to her becoming sole director. From April 2021 to cessation of trading in October 2023 Payguarantors provided false information to HMRC as follows; • In respect of PAYE Payguarantors contracted with customers to deduct PAYE/NIC from payments to agency staff under IR35 but paid them gross, declaring a PAYE liability to HMRC of £138,348. HMRC have since calculated the true PAYE/NIC liability to be £16,057,760. • In respect of VAT Payguarantors declared a liability of £4,835,666 basing returns on net income instead of gross income. HMRC have calculated additional unpaid VAT liability of £1,531,312. • HMRC’s total claim at liquidation was £21,828,845 • Mrs Forson was the sole signatory to the company bank account and made all payments to clients and HMRC. • Mrs Forson states that she had no understanding of the IR35 rules. • The annual accounts signed by Mrs Forson show a turnover for the period of £1,458,616 whereas the bank statements indicate turnover of £52,593,923. • In the same period Mrs Forson received payments and benefits of £2,202,139
