Conduct: Mohammad Towhid Hosain Bhuyian (“Mr Bhuyian”) failed to ensure that BRB Beaconsfield Ltd (“BRB”) complied with its statutory obligations to make payments and returns to HM Revenue and Customs (“HMRC”) as and when due, and caused BRB to trade to the detriment of HMRC in respect of Value Added Tax (“VAT”) from 6 February 2018 to the end of May 2021, in that: • The period ending September 2017 VAT return was submitted to HMRC declaring £11,279.83 due, of which £10,802.81 remained outstanding at liquidation. • VAT returns for the periods ending December 2017 to June 2018 were submitted to HMRC totalling £33,569.71 and remained outstanding at liquidation. • HMRC raised assessments for the VAT periods ending September 2018 to March 2021 totalling £106,030, which remained outstanding at liquidation. • No payments in relation to VAT were made after 6 July 2018. • At the date of liquidation HMRC’s claim totalled £370,426.78 made up of £324,797.50 for VAT; £21,420.98 for PAYE/NIC and £24,208.30 for Corporation Tax against total debts of £467,189.22. Comparative Treatment • A review of the company bank statements shows that for the period from 6 February 2018 to 28 May 2021, excluding contra entries, £1,156,200.15 was credited to and £1,157,981.27 was debited from BRB’s bank account of which £363,598.28 was paid to trade & expense creditors, £203,715.06 was paid for rent, £121,930.61 cheque payments were made and £6,559.88 was paid to HMRC. In November 2021, whilst insolvent and having ceased to trade in May 2021, Mr Bhuyian caused BRB to dispose of £12,096.69 to the detriment of its creditors. In that: • On 12 November 2021 and 27 November 2021, BRB made five payments to one individual totalling £12,096.69. • The payments were made at a time when Mr Bhuyian knew or ought to have known that BRB was indebted to HMRC for the fifteen VAT periods September 2017 to March 2021 and had ceased trading. The payments reduced BRB’s bank balance to nil.
