Conduct: From 28 March 2024 to the date the company was Wound Up on 01 May 2024, Frederick Stanley Reeves, also known as Jamie Reeves (“Mr Reeves”) caused Solfan1 Limited (“Solfan”), whilst insolvent, to continue to take deposits, or payments in full, from customers without reasonable expectation of providing the services customers had paid for in that: • Solfan traded under the name of ‘The Best Singing Waiters’, supplying surprise singing waiters, in particular at weddings. • On 06 February 2024, HMRC served a Winding Up Petition on Solfan with a hearing scheduled for 20 March 2024. The petition debt was £200,201. • On receipt of the petition, the directors, after discussions with an Insolvency Practitioner, decided to proceed with proposing a Company Voluntary Arrangement for Solfan. • On 28 March 2024, the Insolvency Practitioner advised Mr Reeves that the CVA proposals would be rejected. Subsequently, the directors determined that Solfan should be placed into Creditors’ Voluntary Liquidation, however, the company was wound up by Order of the Court on 01 May 2024. • From 28 March 2024, Solfan continued to take deposits and/or full payments from new customers. Several of these customers were offered incentives to make their payment in full at the time of the booking. • Analysis of documents provided by the company directors to the Official Receiver, shows that an estimated 43 customers made payments of £43,590. • Due to the failure of the CVA proposals and subsequent decision to place the company into liquidation there was no reasonable expectation that Solfan could provide the services that the company had received payments for from 28 March 2024.
