Conduct: For the whole period of trading, Mr Woolhouse has caused London Art and Framing Ltd (herein after referred to as London Art) to trade to the detriment of H M Revenue and Customs (herein after referred to as HMRC) by failing to ensure that London Art submitted returns and made payment as and when due in respect of VAT from 7 March 2016 in that:

  • He was appointed director of London Art on 9 October 2015;
  • London Art was registered for VAT from 1 November 2015, with the first return for period 01/16 due by 7 March 2016.
  • The first return was submitted late on 21 April 2016, replacing a HMRC assessment. The amount due was 6,460.42 for which a time to pay agreement was set up on 13 May 2016 but not adhered to.
  • Returns for periods 04/16, 07/16, 10/16 and 01/17 totalling 31,745.54 were submitted on time but not paid.
  • The time to pay agreement was amended on 14 July 2016 when the amount due was 10,321.35 and again on 15 December 2016 when the outstanding liability had increased to 21,419.28.
  • No returns were submitted for period 04/17, 07/17 and 10/17 resulting in HMRC raising an assessment on 15 December 2017 of 30,026.00 and imposing charges of 3,002.60 in respect of these periods.
  • He failed to maintain the time to pay payments and make the future VAT payments as and when due so in the period 68,231.96 of VAT had been incurred, 3002.60 of charges were added whilst payments totalling 12,546.58 were made, meaning that at date of liquidation a total of 58,687.98 was due.
  • There were seven payments to HMRC from the company bank account totalling 6,440.65 which are not listed in the VAT ledgers. It is not known what these payments relate to. Comparative Treatment For the entire period of trading bank statements show that, excluding contra entries, 552,412.64 was paid out of the account as detailed below:
  • Payments direct to, or for the benefit of the Director or persons associated to the director totalling 268,744.69;
  • Payments made in respect of trade or trade expenses totalling 250,797.63;
  • Cash withdrawals and unidentified transactions totalling 10,883.09;
  • Payments made to HMRC totalling 21,987.23
