Conduct: Mr Bernard Nkemdilim ("Mr Nkemdilim") failed to ensure that BF Co 2 Ltd (previously known as Benifex Ltd and hereinafter referred to as "BF Co") complied with its statutory obligations as regards His Majesty’s Revenue & Customs (“HMRC”) and caused BF Co to trade to the detriment of HMRC in respect of VAT from, at the latest, 08 August 2021 to cessation of trading on 01 June 2024, resulting in an outstanding liability owed to HMRC in respect VAT of £1,009,718 (excluding surcharges, penalties & interest) in that: • BF Co was incorporated and commenced trading in 2015 and applied to be registered for VAT on 06 July 2017. Mr Nkemdilim was a director of BF Co from its incorporation until it entered Liquidation on 08 July 2024. • By October 2022 arrears of VAT had accumulated to £440,953, and BF Co entered a Time to Pay agreement with HMRC. • The Company made no payments in respect of VAT in between 08 August 2021 to 08 July 2024. The last payment made towards the VAT was on 07 February 2020 of £3,563. • Analysis of the Company's bank accounts shows that in the period 08 August 2021 to 08 July 2024, BF Co received credits of £4,232,439 and made payments out of £4,235,995, including payments totalling £32,018 to HMRC and net payments of £268,885 to Mr Nkemdilim. • On 08 May 2024 HMRC issued a petition for BF Co to be wound up in respect of debts totalling £1,108,898. At liquidation on 08 July 2024, BF Co had total liabilities of £1,193,734, of which £1,150,008 was owed to HMRC
