Conduct: Kathryn Holton (“Ms Holton”) failed to ensure that The Music Hub Plus CIC (“Music Hub”) maintained and/or preserved adequate accounting records, or alternatively following Liquidation she has failed to deliver up adequate accounting records to the Joint Liquidators when required to do so. As a result, it has not been possible to:

  • Determine that all income has been accounted for through The Music Hub’s bank account.
  • Determine the purpose of cash payments totalling £8,204 and confirm that they were legitimate company expenditure.
  • Determine the purpose of cheque payments totalling £5,127 debited from The Music Hub’s account and confirm that they were legitimate company expenditure.
  • Determine the purpose of payments totalling £20,347 and whether confirm that they were legitimate company expenditure.
  • Determine why payments totalling £8,750 were made from The Music Hub’s bank account to a landlord of the trading premises, when the lease was held in the names of a former director and former employee and why this expenditure was for the benefit of the Music Hub.
  • Determine the purpose of a payment of £10,000 to a third party made on 28 August 2015 and confirm whether it was legitimate company expenditure.
  • Determine whether expenditure totalling £10,250 incurred between 23 September 2016 and 08 November 2016 on a credit card in the name of The Music Hub was legitimate company expenditure.
  • Ascertain and verify the final position regarding The Music Hub’s asset, liabilities and deficiency to creditors as at the date of Liquidation. she contravened the restrictions imposed on her by a disqualification undertaking she signed on 17 October 2016, by acting as a director of The Music Hub Plus CIC (“The Music Hub”) from the 08 November 2016, the date her disqualification commenced, to 11 April 2017, the date of liquidation, when she remained subject to the disqualification undertaking. In particular :-
  • She resigned as a director of The Music Hub on 25 August 2016 and therefore was not formally appointed as a director of The Music Hub from 26 August 2016 to 11 April 2017, the date of Liquidation, though information supplied by third parties to The Insolvency Service, indicates that she acted as a director of The Music Hub from her resignation to the date of Liquidation;
  • she signed a disqualification undertaking on 17 October 2016 for a period of seven years, in respect of her conduct as a director of two companies which entered insolvent proceedings in October 2014 and October 2015, and she remains subject to this disqualification undertaking until 07 November 2023.
  • Further she did not seek leave of the Court to act during this, or any other period;
  • According to the available information, The Music Hub was wound up with liabilities totalling £62,452.
