Conduct: 1. Anisoara Sarban failed to ensure that 4.T.W.C. Limited maintained and/or preserved adequate books and accounting records or, in the alternative, failed to deliver up such books and accounting records to the Liquidator as required, for the period 01 March 2020 to 30 September 2021. As a consequence, it is not possible to: • Explain the purpose of 4.T.W.C. Limited’s bank payments totalling £233,837 made from its first bank account and £6,212,904 made from its second bank account and to establish whether these are for genuine company expenditures. • Explain the purpose of 4.T.W.C. Limited’s bank receipts totalling £241,009 in its first bank account and £6,141,465 in its second bank account. • Determine 4.T.W.C. Limited’s actual tax liability payable to HM Revenue and Customs in respect of Value Added Tax, Pay As You Earn, National Insurance Contribution and Construction Industry Scheme liability. • Determine the exact amount paid to the directors by way of remuneration and other benefits and whether such sums were subjected to proper taxation. 2. Anisoara Sarban caused or allowed 4.T.W.C. Limited to apply for second Bounce Back Loan (BBL) of £50,000 when she knew or ought to have known that 4.T.W.C. Limited was not entitled to under the terms and conditions of the BBL Scheme as only one BBL was permissible per business. In that: • The BBL criteria allowed a company to borrow between £2,000 and a maximum of £50,000 based on 25% of the company’s turnover. • 4.T.W.C. Limited obtained £50,000 BBL from the first bankers on 21 May 2020. • 4.T.W.C. Limited obtained a further £50,000 BBL from the second bankers on 12 June 2020 confirming that 4.T.W.C. Limited had not already obtained a BBL or was in the process of applying for a BBL. • The second BBL is outstanding at £19,900 at Liquidation.
