Conduct: 1. From at least 29 September 2014 (being the date of incorporation) until the date of liquidation on 18 November 2016 James Hallahan ("Mr Hallahan") acted as a director of Aitch London Limited (“AL") notwithstanding that he knew that he was disqualified from doing so for a period of 4 years until 27 February 2015 following a Bankruptcy Restriction Undertaking given by him to the Secretary of State for Business Energy and Industrial Strategy. 2. In addition, he failed to ensure that Aitch preserved and maintained adequate accounting records; or in the alternative failed to preserve and deliver up such records as were maintained. As a result, it has not been possible to:

  • Confirm to whom cheques totalling £227,437.01 were made payable to during the period 6 January 2015 to 18 November 2016;
  • Explain what cash withdrawals totalling £16,005.49 made between 6 January 2015 to 18 November 2016 was used for;
  • Establish to whom, unknown payments totalling £17,476.98 were paid to and for what purpose between 6 January 2015 to 18 November 2016:
  • Confirm the accuracy of the statement of affairs as sworn by Mr Hallahan;
  • Verify the reason for Aitch’ Insolvency. . 3. In addition, he caused Aitch to trade to the detriment of HM Revenue and Customs (hereinafter referred to as HMRC) from at least 20 December 2014 in respect of Pay As You Earn and National Insurance Contributions (“PAYE/NIC”) and from at least 07 March 2015 in respect of Value Added Tax (“VAT”) so that at liquidation, Aitch had an outstanding liability of at least £214,659.59 in respect of VAT and £117,021.32 in respect of PAYE/NIC. In that: VAT
  • Between the periods 07/15 and 10/15 Aitch made the required returns showing VAT in the sum of £107,624.89 was due. These amounts were paid on time and in full.
  • Between 01/16 and 07/16, Aitch submitted returns on time these returns totalled £102,943.50. No payments were made against these returns.
  • On 14 December 2015 HMRC applied a civil penalty of £58,452.00 which was not paid
  • Due to failure to pay in full on time, surcharges were raised for the periods 01/16 to 07/16 inclusive;
  • An assessment for the period 10/16 in the sum of £39,970 was raised by HMRC as a return was not submitted. No payment was made towards the assessment;
  • No further payments were made and the payment on 9 December 2015 was the last payment made in respect of VAT
  • As at the date of liquidation the outstanding VAT liability was £214,659.59 including interest, surcharges and the unpaid civil penalty. PAYE/NIC
  • Returns were made for the year 2014/2015 and total £22,395.62 which was due for payment on 20 December 2014. Payments applied to the year total £20,405.35, leaving an outstanding balance of £1,990.27;
  • Returns were made for the year 2015/2016 and total £80,580.62, payments applied to the year total £33,673.21, leaving an outstanding balance of £46,907.41;
  • Returns were made for the year 2016/2017 and total £69,043.64, payments applied to the year total £920, leaving an outstanding balance of £68,123.64
  • The last payment made in respect of PAYE was on 3 November 2016 for £920
  • As at the date of liquidation the outstanding PAYE/NIC liability was £117,021.32 Comparative Treatment
  • Between 6 January 2015 (being the date of the first bank transaction) and 18 November 2016 statements show that, excluding contra entries, £1,750,728.62 went out of the bank account as detailed below:
  • Payments to/for the benefit of his totalled £113,040.13;
  • Payments in cash, cheques, unknown parties and interest/charges total £546,532.54
  • Payments to staff total £671,869.02
  • Trade suppliers received £300,236.54
  • HMRC received £119,050.39
  • At liquidation, HMRC was the majority creditor and was owed £331,681 out of total creditors of £370,550.
