Conduct: Duncan John Collier (“Mr Collier”) caused JJE Capital Limited (the “Company”) to trade to the detriment of Her Majesty’s Revenue & Customs (“HMRC”) in respect of Value Added Tax (“VAT”), Corporation Tax (“CT”), Pay As You Earn tax (“PAYE”), Student loan deductions (“SLD”) & National Insurance Contributions from 29 February 2016 until liquidation. On liquidation HMRC was owed at least £503,798.76. In that: VAT On 8 June 2017 the Company filed late a VAT return for the period ended 02/16 that declared a liability due to HMRC of £99,419.84. On 30 June 2017 the Company filed VAT returns for the two periods ended 08/16 & 02/17 that reclaimed a total of £15,152.73. HMRC set off the reclaimed sums against the declared 02/16 liability, leaving a balance of £84,267.11 that remained due and outstanding at liquidation. On 30 June 2017 the Company filed late a VAT return for the period ended 11/16 that reclaimed £11,650.76. HMRC identified a lack of supporting documentation and two errors in that VAT return and corrected the return to declare a liability due to HMRC of £15,165.09 that remained unpaid at liquidation. The Company filed three VAT returns for the three periods ended 05/16, 08/17 & 11/17 that declared a total sum due to HMRC of £15,732.24. HMRC raised two surcharges for the periods ended 08/17 & 11/17 in the total sum of £1,862.43. The Company made no payments and these liabilities remained due and outstanding at liquidation. On 13 November 2017 HMRC issued two penalties to the Company in respect of the 02/16 & 05/16 quarters totalling £11,788. These liabilities remained due and outstanding at liquidation. CT In the absence of a filed return on 24 April 2017 HMRC raised a determination for the periods ended 30 September 2014 & 30 September 2015 in the sum of £102,493.15. HMRC raised two penalties for this period in the total sum of £20,498.62. These liabilities remained due and outstanding at liquidation. On 30 June 2017 the Company filed a CT return for the period ending 30 September 2016 that declared a liability due in the sum of £10,485.55. This liability remained due and outstanding at liquidation. PAYE, SLD & NIC For the tax year 2014/2015 the Company submitted monthly Real Time Information (“RTI”) for months 1 – 12 that declared total liabilities of £88,453.88 due to HMRC against which an annual employment allowance of £2,000 was credited. The Company made total payments of £65,166.26. At liquidation HMRC submitted a claim of £16,711.76 in respect of the balance due. For the tax year 2015/2016 the Company submitted RTI for months 1 – 12 that declared total liabilities of £60,176.05 due to HMRC against which an annual employment allowance of £2,000 was credited. The Company made total payments of £6,192.79. The balance of £51,983.26 remained due and outstanding at liquidation. For the tax year 2016/2017 the Company submitted RTI for months 1 – 12 that declared total liabilities of £140,387.12 due to HMRC against which an annual employment allowance of £3,000 was credited. At liquidation HMRC submitted a claim of £137,387.12 in respect of the balance due. For the tax year 2017/2018 the Company submitted RTI for months 1 – 10 that declared total liabilities of £38,424.43 due to HMRC against which an annual employment allowance of £3,000 was credited. The balance of £35,424.43 remained due and outstanding at liquidation. Comparative treatment of creditors/apportionment of income Between 29 February 2016 and liquidation payments totalling £2,747,842.46 were made from the Company bank account, of which a net £93,104.64 was paid to him, £114,363.89 was paid to a former director and subsequently a consultant for the Company and £48,884.50 was paid to HMRC. At liquidation HMRC submitted a claim of £552,521.19, and three other creditors submitted claims totalling £71,820.00.
