Conduct: Victoria Whitworth (“Ms Whitworth”) failed to ensure that We Good Ltd (the company) met its financial obligations as regards Corporation Tax (CT) and Value Added Tax (VAT) and caused the company to continue trading whilst withdrawing funds for her own benefit. As a result the company was unable to meet its financial obligations to HM Revenue and Customs (HMRC) as and when they fell due from 02 February 2015 in respect of CT and 07 April 2015 in respect of VAT, in that; Corporation Tax

  • Corporation Tax Returns were submitted for the accounting periods ending 01 May 2014 to 31 May 2015, and before the date of liquidation a further accounting period fell due on 31 May 2017 for which no return was submitted or assessment made
  • HMRC documents record that according to returns at least £32,458 fell due for payment no later than 01 March 2016, against which £7,000 was paid between 18 December 2015 to 26 August 2016, leaving at least £25,458 due at liquidation VAT
  • VAT assessments were raised for the quarters ending February 2015 to May 2017. The final quarter payment fell due before the date of liquidation on 1 September 2017 at which time at least £20,247 was owed to HMRC. Returns were later submitted to HMRC for the quarters ending February 2015, May 2015, and August 2015
  • HMRC documents record that, for the quarters ending February 2015 to May 2017, assessments and surcharges were raised totalling £28,044
  • For the quarters ending February 2015 to August 2016, payments of £16,889.99 were made against the assessed VAT and surcharges due. No payment was made against the quarters ending November 2016 to May 2017
  • Returns were latterly submitted against the assessed quarters ending February 2015 to August 2015 which increased the total owed by £9,092.87 (inclusive of surcharges) against which no payment was made Payments to directors In respect of the company’s ability to pay its debts, the company accounts for the year ended 31 May 2015 record that the company declared dividends and carried a profit forward for the years ending 31 May 2014 and 31 May 2015 Bank transaction analysis from 01 June 2015 to 04 August 2017 records that £271,135 was paid into the company bank account from external sources, of which a total of £223,816 was withdrawn by the 2 directors, £22,135 was paid to other recipients, and £27,746 was paid to HMRC
