Conduct: Edward Davison (“Mr Davison”) caused and/or facilitated Brookbourne International Limited (“Brookbourne”) to obtain goods on credit totalling at least £667,924 between January 2015 and October 2016 from at least 14 suppliers who had directly and indirectly relied upon false year end accounts filed with the Registrar of Companies and other false information to determine Brookbourne’s creditworthiness. In particular, he caused and/or facilitated Brookbourne to:

  • File amended financial accounts with the Registrar of Companies relating to the period to 31 October 2013 filed on 26 November 2014 to replace dormant accounts filed for the same period on 2 July 2014 which he knew or ought to have known were false or had no reason to believe they were true;
  • File financial accounts with the Registrar of Companies relating to the periods to 31 October 2014 and 31 October 2015, filed on 14 January 2015 and 12 February 2016 respectively, which he knew or ought to have known were false or had no reason to believe they were true;
  • Remove goods purchased on credit by suppliers from its trading premises at a time when there was no possibility of paying said supplier, and further being unable to account for the whereabouts of the goods or the proceeds of sale thereof. He failed to ensure that adequate accounting records for Brookbourne were maintained, and/or preserved, or in the alternative, he failed to deliver up to the Official Receiver such records as were maintained/preserved with the result that it is not possible to:
  • Identify all of the creditors of Brookbourne;
  • Establish the extent of supplier complaints;
  • Establish the reason for disbursements totalling £379,693 paid out to third party companies;
  • Establish the final position and veracity of the creditor position of £46,946 respectively, recorded in the accounts for the year ended 31 October 2015;
  • Establish the final position and veracity of the stock and debtor position of £115,314 and £70,488 respectively, recorded in the accounts for the year ended 31 October 2015;
  • Identify all the contact details of the employees of Brookbourne;
  • Test the cause of Brookbourne’s insolvency.
