Conduct: On 22 May 2020, Ms Tina Seun Opeodu (“Ms Opeodu”) caused Tomsop Ltd (“TSL”) to obtain a Bounce Back Loan (“BBL”) of £50,000. Between 26 May 2020 and 25 August 2020, Ms Opeodu caused TSL to expend £47,815 funds for purposes that did not provide economic benefit to TSL, in breach of the BBL terms and conditions. In that: • TSL applied for a £50,000 Bounce Back Loan (“BBL”) on 20 May 2020 and the funds were received on 22 May 2020. • Between 26 May 2020 and 25 August 2020, TSL made payments totalling £34,420 to Ms Opeodu and £13,395 to connected individuals. These payments were not for the economic benefit of the business and in breach of the BBL terms and conditions. • TSL entered liquidation on 25 February 2022 with an overall deficiency of £56,030 including £49,997 in relation to the company’s BBL. From 30 April 2020, the date following TSL’s incorporation onwards, Ms Opeodu failed to ensure that TSL maintained and/or preserved adequate accounting records, or in the alternative she failed to deliver up to the liquidator such records as were maintained. As a consequence, it has not been possible to: • Verify the accuracy of TSL’s stipulated turnover in relation to its filed accounts as of 30 April 2020 (£202,517). • Between 26 May 2020 and 25 August 2020, TSL made payments totalling £34,420 to Ms Opeodu and £13,395 to connected individuals. As a result of the lack of records provided by TSL, it has not been possible to verify what these payments were in relation to and whether the BBL funds were used appropriately for the benefit of the company as per the BBL terms and conditions.
