Conduct: Sean Patrick Murphy failed to ensure that Mimosa Business Solutions Ltd (‘Mimosa’) met its financial commitments as regards to Value Added Tax (“VAT”) and Corporation Tax (“CT”) and caused the company to continue trading whilst withdrawing funds for the benefit of himself. As a result the company became unable to meet its financial commitments to HMRC as and when they became due, at the latest from 07 September 2013. In that:

  • Between the periods ending 31 July 2013 and 31 October 2017, Mimosa incurred VAT liabilities of £102,406, based on returns submitted to and assessments raised by HMRC. Mimosa made payments totalling £5,370 towards these debts, leaving an outstanding VAT liability of £97,036, as at the winding up order date.
  • For the financial years ending 31 March 2014 to 31 March 2016, Mimosa incurred Corporation Tax liabilities of £55,005 inclusive of interest, based on returns submitted to HMRC. Mimosa made payments of £2,891 leaving an outstanding liability of £52,114.
  • Mimosa’s prepared accounts for the years ending 31 March 2014 and 31 March 2015 record outstanding tax liabilities of £61,377 and £104,935 respectively. No other liabilities are recorded. At the winding up order date, Mimosa’s outstanding liabilities consisted of £167,986 owed to HMRC (as per the final proof of debt which includes VAT assessments post cessation of trade), and an outstanding business credit card account of £3,300.
  • Mimosa’s prepared accounts for the years ending 31 March 2014 and 31 March 2015 also record director’s remuneration of £13,499 and £13,299 respectively, and dividend payments of £97,535 and £102,000 respectively.
  • Available copy bank statements for Mimosa’s business bank account for the period 19 January 2016 to 18 August 2016 record payments received into the account of £104,969. In the same period, the statements record dividend payments of £29,783, payments to the him and a connected party of £18,050, and payments to HMRC of £5,446. At the winding up order date, HMRC are the majority creditor in the liquidation with a final claim for outstanding liabilities owed to them by Mimosa totalling £167,986.
